Confidentiality

Contractor and Client shall treat all non-public Project data, survey control, raw lidar returns, derived products, and project reports as Confidential Information. Confidential Information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required for performance of the Work or by law. Each party shall use commercially reasonable measures to protect Confidential Information and shall limit access to employees and subcontractors with a need to know who are bound by confidentiality obligations no less protective than those herein.

Governing Law

This Update and any dispute arising out of or in connection with it shall be governed by the substantive laws of the state specified by the controlling agreement, without regard to its conflict of laws principles. Venue for any litigation shall be in the courts specified in the controlling agreement.

Entire Agreement

This Project Update Form, together with the controlling contract between Client and Contractor, constitutes the entire understanding of the parties regarding the matters addressed herein. In the event of any inconsistency between this Update and the controlling contract, the controlling contract shall prevail except where this Update expressly modifies a previously agreed milestone, scope, or payment in writing signed by authorized representatives of both parties.
