LIEN WAIVER AND RELEASE

RECITALS

AGREEMENT

1. Waiver and Release. Subject to the terms selected above, the Waiving Party hereby waives and releases any and all mechanic's liens, materialmen's liens, stop notices, bond claims, and other similar security interests that the Waiving Party has or may have against the Property, the Owner, and any payment bonds to the extent of the amount identified above and only for labor, services, materials or equipment provided through the Period Covered. This waiver constitutes a release only to the extent of payment or consideration stated herein and is limited to the scope indicated by the selected waiver type.

2. Conditional Effect. If a conditional waiver box is selected, this waiver shall become effective only upon actual receipt and final clearance of funds by the Waiving Party. If payment is not actually received or fails to clear, this waiver shall be null and void and shall not operate as a release of any lien rights.

3. Unconditional Effect. If an unconditional waiver box is selected, the Waiving Party acknowledges receipt of the consideration stated herein and agrees that this instrument constitutes a full release of lien rights to the extent indicated, effective immediately and irrevocably upon execution.

4. Representations and Warranties. The Waiving Party represents and warrants that: (a) all work for which a lien or claim could be asserted under this waiver has been performed by or through the Waiving Party as described herein; (b) to the best of its knowledge there are no outstanding claims for labor, materials or services covered by this waiver other than as disclosed in writing below; and (c) the Waiving Party has full authority to execute this waiver and to release the lien rights described herein.

5. Release Limited. This waiver is limited in amount and scope to those rights arising from the labor, services, materials or equipment described above and shall not be construed to waive claims unrelated to the referenced Project or amounts in excess of the amount identified herein.

6. Consideration. The Waiving Party acknowledges receipt of good and valuable consideration in the amount stated above, which is adequate consideration for the waiver and release granted herein.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Notices: Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as either party may designate by notice). Notice shall be deemed given when delivered personally, by certified mail, or by overnight courier service.

Severability: If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic or facsimile signatures shall be treated as originals for all purposes.
