LIFE COACHING LIABILITY WAIVER

RECITALS

WHEREAS, Coach Name: and Client Name: desire to set forth their respective rights and obligations with respect to life coaching services to be provided by Coach to Client.

WHEREAS, Coach provides non-clinical life coaching services focused on goal-setting, personal development, accountability, and related coaching activities, and Client desires to receive such services subject to the terms and conditions of this Waiver and Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: .

Either party may terminate this Agreement on provision of written Notice Period: days' notice. Coach may terminate immediately for material breach or nonpayment; Client may terminate subject to payment of any outstanding fees due under the agreed billing schedule.

ASSUMPTION OF RISK AND RELEASE

Client acknowledges and agrees that coaching is a professional relationship and is not professional mental health, medical, legal, financial or other licensed advice. Client accepts full responsibility for decisions, actions and results arising from coaching and releases Coach and Coach's agents from liability for any action or inaction, losses, claims or damages arising out of or relating to coaching services, except to the extent caused by Coach's gross negligence or willful misconduct.

Client expressly assumes all risks associated with participation in coaching, including emotional discomfort or unexpected outcomes, and agrees that Coach shall not be liable for indirect, special, incidental or consequential damages arising from coaching services.

I understand coaching is not a substitute for medical or mental health care and I will seek appropriate licensed professionals when needed.

I voluntarily assume the risks associated with coaching and release Coach from liability to the fullest extent permitted by law.

CONFIDENTIALITY

Except as expressly provided below or as required by law, Coach shall keep confidential all information shared by Client in sessions. Exceptions to confidentiality include: (a) suspected imminent risk of harm to Client or others; (b) suspected abuse of a minor or vulnerable person; and (c) information Client authorizes in writing for disclosure. Coach may use anonymized, non-identifying examples for training or supervision purposes.

Client consents to the foregoing confidentiality terms:

INDEMNIFICATION

Client agrees to indemnify and hold harmless Coach, Coach's employees, agents and contractors from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Client's acts, omissions, breach of this Agreement, or use of coaching materials, except to the extent such claims arise from Coach's gross negligence or willful misconduct.

LIMITATION OF LIABILITY

Except for liability arising from Coach's gross negligence or willful misconduct, Coach's aggregate liability under or in connection with this Agreement shall not exceed the total fees paid by Client to Coach under this Agreement during the six (6) months immediately preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This document constitutes the entire agreement between Coach and Client with respect to the subject matter hereof and supersedes all prior oral or written understandings. No modification, amendment or waiver shall be effective unless in writing and signed by both parties.

NOTICES

REPRESENTATIONS AND WARRANTIES

Client represents that Client is at least eighteen (18) years of age, has the capacity to enter into this Agreement, and will provide honest and timely disclosures of information relevant to coaching. Client understands that results are not guaranteed and are dependent on Client's engagement and adherence to agreed actions.

By signing below, Client acknowledges that Client has read, understands, and voluntarily accepts the terms of this Life Coaching Liability Waiver and Agreement, including the assumption of risk, release, indemnity, confidentiality, and limitation provisions set forth herein.
