Security and Priority

If the parties agree that the Funding Amount will be secured, describe collateral below and confirm the security instrument to be executed concurrently with this Agreement. Absent a written security agreement, funding hereunder shall be unsecured.

Default and Remedies

Events of Default include, without limitation: (i) failure to make any scheduled payment within the agreed cure period; (ii) material misrepresentation by the Recipient; (iii) insolvency or bankruptcy of the Recipient; (iv) breach of any material covenant.
