WHEREAS, the Insurer is duly authorized to issue life insurance contracts and agrees to provide the insurance benefits described in this Policy subject to the terms and conditions set forth herein; and

WHEREAS, the Policyholder has applied for insurance coverage, submitted statements of insurability and consideration by payment of premiums as required by the Insurer, and the Insurer has relied upon those statements in issuing this Policy; and

WHEREAS, the parties intend this Policy to constitute a binding contract of life insurance, which shall be governed by the express terms below.

Either party may terminate this Policy for material breach by providing days' prior written notice to the other party, subject to the Insurer's rights to collect premiums due for the period during which coverage was in force.

Confidentiality and Medical Information

The parties acknowledge that medical and underwriting information exchanged in connection with this Policy is confidential. The Insurer shall use such information solely for underwriting, claims handling, and other legitimate policy administration purposes and shall not disclose it except as required by law or with the written consent of the Policyholder or Insured. The Policyholder authorizes the release of medical records reasonably necessary for underwriting and claims adjudication.

Claims, Proof and Exclusions

To make a claim under this Policy the beneficiary must provide written notice and due proof of death within days of the Insured's death, except where prevented by reasonable cause. The Insurer shall have the right to require certified copies of death certificates, medical records and an autopsy where permitted by law.

Exclusions: No Death Benefit shall be payable for death resulting from (i) suicide within years of the Effective Date if intent to self-harm is established; (ii) material misrepresentation in the application that is material to risk and within the contestable period; (iii) commission of a felony or participation in an illegal act; or (iv) declared war or active military hostilities as specified in the policy.

Contestability and Misstatements

Except for fraudulent misstatements, statements made by the Policyholder or Insured in the application shall not be used to void the Policy or deny a claim after a period of years from the Effective Date. If the Insured's age or sex has been misstated, the benefit payable shall be adjusted to the amount the premium would have purchased at the correct age or sex.

Assignment and Ownership

This Policy is the property of the Policyholder and may be assigned in whole or in part by written instrument filed with the Insurer. The Insurer shall not be bound by an assignment until it receives notice and records it, but once recorded shall be subject to such assignment with respect to subsequent benefits.

Governing Law; Entire Agreement

Governing Law: This Policy shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles.

Entire Agreement: This Policy, including the application, attached endorsements and any riders, constitutes the entire agreement between the parties and supersedes all prior agreements and representations, whether oral or written, relating to the subject matter hereof. No agent or other person is authorized to change this Policy or waive any of its provisions except by an express written endorsement signed by an officer of the Insurer.
