LIFE SAFETY AGREEMENT

This Life Safety Agreement ("Agreement") is entered into by and between:

RECITALS

WHEREAS, the Service Provider represents that it is duly qualified and experienced to perform inspection, maintenance, testing, repair and related services for life safety systems including but not limited to fire alarm systems, emergency lighting, exit signage, and fire extinguishers (collectively "Life Safety Systems"); and

WHEREAS, the Client desires to engage the Service Provider to perform the services described in this Agreement at the Client premises identified above and to maintain compliance with applicable codes and standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which such services will be provided.

SCOPE OF WORK

The Service Provider shall furnish all labor, materials, equipment, transportation, supervision and incidentals necessary to perform the following services (collectively, "Services"):

The Services shall be performed in accordance with industry standards and applicable codes. The Service Provider shall document all inspections and tests and provide the Client with written reports within a commercially reasonable time following performance of Services.

PAYMENT TERMS

All amounts are payable in U.S. dollars unless otherwise agreed in writing. Client shall timely pay undisputed invoices. Client agrees that failure to pay an undisputed invoice when due shall constitute a material breach permitting Service Provider to suspend Services after seven (7) days' prior written notice.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all Services performed and costs incurred through the effective date of termination and any reasonable close-out costs. Termination shall not relieve either party of obligations that, by their nature, survive termination.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non-public technical, operational, business and financial information disclosed by one party to the other in connection with the Services. Each receiving party shall: (a) protect Confidential Information from unauthorized use or disclosure with the same degree of care it uses for its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors with a need to know who are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations shall not apply to information that: (i) is or becomes publicly available without breach of this Agreement; (ii) was already known to the receiving party free of any obligation of confidentiality; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party. Either party may disclose Confidential Information to the extent compelled by law, provided it gives the disclosing party prompt notice and cooperates in any lawful effort to limit disclosure.

The obligations under this Section shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities and expenses arising from the indemnifying party's negligence or willful misconduct in connection with performance of this Agreement. Except for a party's breach of confidentiality or indemnification obligations, neither party shall be liable to the other for incidental, consequential or punitive damages. The total liability of either party for any claim arising out of this Agreement shall not exceed the amounts paid or payable to Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create a partnership, joint venture or agency relationship. The headings in this Agreement are for convenience only and shall not affect interpretation.
