LIFE VERIFICATION PROOF AGREEMENT

This Life Verification Proof Agreement (the Agreement) is entered into by the parties identified below for the provision and acceptance of life verification services on the terms set forth herein.

RECITALS

WHEREAS, Client Name: requires verification that the identified Beneficiary is alive in order to satisfy administrative, insurance or benefit payment requirements; and

WHEREAS, Verifier Name: is a qualified provider of life verification services and agrees to perform such services under the terms of this Agreement; and

WHEREAS, the parties intend to document the scope, compensation, confidentiality and governing law applicable to the performance of life verification services.

SCOPE OF WORK

Verifier shall perform the following verification services in accordance with professional standards and applicable privacy obligations. The standard services include a physical observation or reliable remote observation, photographic or video record where permitted, collection of identifying information and preparation of a signed verification statement or affidavit certifying the result.

PAYMENT TERMS

Client shall pay Verifier the fees set forth below in exchange for the services rendered under this Agreement. Fees are exclusive of any taxes imposed by governmental authorities and are due in accordance with the schedule below.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until earlier termination in accordance with this section.

Either party may terminate for material breach if the other party fails to cure a breach within the notice period provided. Termination shall not relieve Client of the obligation to pay for services performed through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that they may receive Confidential Information of the other. "Confidential Information" means non-public personal data, identifying documents, health information, financial account numbers, photographs or any information reasonably designated as confidential. Each party shall:

(a) Use Confidential Information solely to perform obligations under this Agreement; (b) restrict access to employees or contractors with a need to know and who are bound by confidentiality obligations; and (c) implement reasonable administrative, technical and physical safeguards to protect Confidential Information against unauthorized access, disclosure or use.

Upon termination or upon written request, the receiving party shall return or securely destroy Confidential Information and certify such destruction if requested in writing.

COMPLIANCE WITH LAW AND DATA PROTECTION

Verifier agrees to perform services in compliance with applicable privacy and data protection laws. Verifier shall obtain any consents required for collection of personal data and shall notify Client of any suspected unauthorized access or breach of holder data without undue delay.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing Law State: without regard to its choice of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

ATTESTATION AND CERTIFICATION

Verifier certifies under penalty of perjury and to the best of their knowledge that the verification was conducted using the method(s) selected above and that the person observed matches the identifying information provided. Verifier shall prepare and deliver a written verification statement or affidavit summarizing the observation, including date, time and location, and attaching copies of any identifying documents inspected where permissible.
