LIFEMARK BUSINESS PROPOSAL TEMPLATE

Recitals

WHEREAS, LifeMark is engaged in the business of providing professional services and solutions in the areas described herein; and

WHEREAS, Client desires to retain LifeMark to perform the services set forth in this Proposal and LifeMark agrees to perform such services subject to the terms and conditions of this Proposal; and

WHEREAS, the parties wish to set forth herein the scope, schedule, compensation and other material terms for the services to be provided under this Proposal.

Scope of Work

LifeMark shall provide the services and deliverables described below. All work shall be performed in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay LifeMark the fees set forth below in consideration for the services and deliverables. All fees are exclusive of taxes unless otherwise stated. Invoices shall be issued in accordance with the schedule below.

Invoices are due within days of the invoice date. A late fee of per month (or the maximum allowed by law) will accrue on overdue amounts.

Term and Termination

This Proposal shall commence on the Commencement Date and shall continue until completion of the Services or the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Proposal for convenience upon written notice to the other party at least days prior to the effective termination date. Termination for cause may be effected immediately upon written notice if a material breach remains uncured for fifteen (15) days following receipt of notice of breach.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and shall not disclose to any third party any confidential or proprietary information received from the other party (the "Disclosing Party") and shall use such information only for the purposes of performing under this Proposal. Confidential information does not include information that is or becomes public through no fault of the Receiving Party, or is rightfully received from a third party without restriction.

The obligations in this section shall survive termination or expiration of this Proposal for a period of years.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, LifeMark grants Client a nonexclusive, perpetual license to use deliverables created specifically for Client under this Proposal upon full payment of fees. LifeMark retains ownership of pre-existing materials, methodologies and tools used in providing the Services. The parties shall negotiate in good faith any assignment of copyright or other proprietary rights where specifically required.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable to the other for special, incidental, consequential or punitive damages. The aggregate liability of either party for any claim arising under this Proposal shall not exceed the total fees paid by Client to LifeMark under this Proposal.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for the resolution of disputes.

Entire Agreement; Amendments

This Proposal, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Acceptance and Authorization

By signing below, the parties acknowledge that they are authorized to bind their respective organizations and accept the terms and conditions set forth in this Proposal. Execution by electronic signature or facsimile shall have the same force and effect as an original signature.
