LIFESKILLS TRAINING FORM

This Lifeskills Training Agreement (the "Agreement") is made effective as of by and between Provider Name: and Client Name: .

WHEREAS

1. Provider is engaged in the business of delivering lifeskills training, including but not limited to communication, financial literacy, time management, and job readiness, and has the experience, personnel and resources necessary to provide such services.

2. Client desires to engage Provider to perform lifeskills training for designated participants under the terms set forth herein, and Provider agrees to provide such services in accordance with the terms of this Agreement.

3. The parties intend that this Agreement set forth the rights, duties, and obligations of each party with respect to the training services to be provided.

SCOPE OF WORK

Provider shall design, schedule and deliver lifeskills training as described below. Provider will assign qualified instructors, prepare materials, and monitor participant progress. Specific deliverables, performance metrics, and adjustments shall be set forth in the Scope of Work.

PAYMENT TERMS

Client shall pay Provider the fees described below in exchange for the services. All fees are due in U.S. dollars unless otherwise agreed in writing. Provider will invoice Client in accordance with the schedule below.

Provider shall issue invoices that detail services rendered and expenses. Unless otherwise stated on an invoice, amounts unpaid after the due date shall accrue the agreed late fee and Provider may suspend services until payment is made. Client shall reimburse reasonable, pre-approved out-of-pocket expenses incurred by Provider in connection with performance of the services.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues through the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period. Provider may also terminate immediately for nonpayment. Termination does not relieve Client of the obligation to pay for services rendered and expenses incurred prior to termination.

CONFIDENTIALITY

Each party agrees to hold in confidence and not to disclose to any third party any Confidential Information disclosed by the other party in connection with this Agreement. "Confidential Information" means non-public information identified as confidential or that a reasonable person would understand to be confidential. Confidentiality obligations survive termination for a period of three (3) years. Confidential Information shall not include information that is publicly known through no fault of the receiving party or required to be disclosed by law, provided the disclosing party is given prompt notice to seek protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Exclusive jurisdiction and venue for disputes shall lie in the courts of that state.

ENTIRE AGREEMENT

This Agreement, including any attached Scope of Work, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any modification must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Provider represents that it will maintain appropriate insurance coverage and comply with applicable laws in the performance of services. Each party shall indemnify and hold the other harmless from claims arising from its negligent acts or omissions in performance of this Agreement, to the extent permitted by law.
