LIFESTYLE PRODUCTS AGREEMENT

This Lifestyle Products Agreement (the "Agreement") is made effective as of Effective Date: by and between Company Name: , with principal place of business at ("Company"), and Supplier Name: , with principal place of business at ("Supplier").

Recitals

WHEREAS, Company develops, markets, and sells lifestyle products including but not limited to apparel, accessories, and home goods (collectively, "Products"); and

WHEREAS, Supplier is engaged in the manufacture, supply, and packaging of consumer goods and has represented that it has the capacity and expertise to supply Products that conform to the specifications and quality standards set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Supplier will supply Products to Company for resale and distribution.

Scope of Work

Supplier shall manufacture, pack, label, and deliver Products in accordance with the specifications set forth in the Scope of Work and any purchase orders issued pursuant to this Agreement. Supplier shall maintain quality control procedures and permit Company to inspect manufacturing facilities upon reasonable notice.

Payment Terms

If any undisputed amount is not paid when due, Supplier may assess interest at the lesser of per month or the maximum rate permitted by applicable law, and a late fee of per invoice.

Term and Termination

The term of this Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice no less than days prior to the effective date of termination. Upon termination for convenience, Company shall pay Supplier for Products delivered and properly invoiced prior to the effective date of termination and shall not be liable for anticipated profits.

Either party may terminate immediately for material breach if the breaching party fails to cure within 30 days after written notice specifying the nature of the breach; in the case of safety or regulatory noncompliance, termination may be immediate without cure period.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform under this Agreement. "Confidential Information" includes non-public technical, business, financial and product information, designs, samples, pricing, customer lists, and marketing plans. Confidentiality obligations shall continue during the term and for years after termination.

Confidential Information does not include information that is (a) publicly known without breach; (b) rightfully received from a third party without obligation of confidentiality; (c) independently developed without reference to Confidential Information; or (d) required to be disclosed by law, provided the Receiving Party gives prompt notice and limited disclosure.

Warranties, Recalls and Compliance

Supplier represents and warrants that all Products supplied under this Agreement shall (i) conform to the agreed specifications and samples; (ii) be free from defects in material and workmanship; and (iii) comply with all applicable laws, regulations, standards, and labeling requirements. Supplier agrees to notify Company promptly of any safety concerns or potential recalls and shall be solely responsible for costs associated with recall, correction, or withdrawal of non-conforming Products.

Indemnification and Limitation of Liability

Supplier shall indemnify, defend and hold Company harmless from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Supplier's breach of this Agreement, negligent acts, defective Products, or failure to comply with applicable laws. Company shall indemnify Supplier for claims arising from Company's misuse of Products or Company's breach.

Except for liability arising from willful misconduct, gross negligence, or indemnification obligations, neither party shall be liable to the other for special, incidental, consequential, or punitive damages. The parties' aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total amount paid by Company to Supplier under the applicable purchase order giving rise to the claim.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties agree to attempt to resolve disputes in good faith by negotiation, and if unresolved, submit disputes to binding arbitration in the chosen forum mutually agreed at the time of dispute.

Entire Agreement; Amendments

This Agreement, together with any purchase orders and written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger, acquisition, or sale of substantially all assets. Headings are for convenience only and shall not affect interpretation. If any provision is held unenforceable, the remainder shall remain in effect.
