LIFETIME EXTENSION AGREEMENT

This Lifetime Extension Agreement (the Agreement) is entered into effective as of (Effective Date), by and between (Provider), with a principal place of business at , and (Client), with contact address at .

WHEREAS

WHEREAS, Provider is the owner or authorized servicer of the products and services listed in this Agreement and is able and willing to extend specified lifetime obligations with respect to such products and services; and

WHEREAS, Client desires to obtain a lifetime extension for the product, service, or asset described below under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows:

Provider shall perform all services and obligations necessary to extend the lifetime coverage for the Covered Product(s) as described below. The lifetime extension shall consist of maintenance, repair, replacement, support, and other services expressly identified in the Scope of Work. Exclusions, limitations, and service levels are set forth in the Scope of Work field and shall be enforceable as part of this Agreement.

3. PAYMENT TERMS

In consideration for Provider's performance, Client shall pay Provider the fees set forth herein according to the schedule below. All fees are exclusive of taxes unless otherwise stated.

4. TERM AND TERMINATION

This Agreement commences on the Effective Date and shall continue for the lifetime of the Covered Product as defined in the Scope of Work, subject to the termination provisions below.

Either party may terminate this Agreement upon material breach by the other party if such breach is not cured within the notice period set forth above. Termination shall not relieve Client of payment obligations accrued prior to termination nor Provider of obligations incurred with respect to work already performed.

5. CONFIDENTIALITY

Each party shall keep in strict confidence all non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations hereunder. Confidential information does not include information that is or becomes public through no fault of the receiving party, was lawfully in the receiving party's possession prior to disclosure, or is independently developed without use of the disclosing party's confidential information. The obligations of confidentiality shall survive termination for a period of five (5) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

6. LIMITATIONS, EXCLUSIONS AND WARRANTIES

Provider's obligations under this Agreement are subject to the exclusions and limitations documented in the Scope of Work. Except as expressly set forth in this Agreement, Provider makes no warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Provider's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement.

7. ASSIGNMENT

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld; provided, however, that Provider may assign to a successor in interest in connection with a merger or sale of substantially all assets without Client consent.

8. INDEMNIFICATION

Each party shall indemnify and hold harmless the other from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or breach of applicable law in connection with this Agreement, subject to the limitations of liability stated herein.

9. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above without regard to conflict of laws principles. The parties agree that any dispute arising from this Agreement shall be resolved by arbitration or litigation as set forth in a separate dispute resolution provision if selected below.

10. ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous understandings, proposals or communications, whether written or oral, relating to the subject matter hereof. Any amendment must be in writing and signed by authorized representatives of both parties.

11. MISCELLANEOUS PROVISIONS

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect. The waiver of any breach shall not be deemed a waiver of any subsequent breach. The parties acknowledge that they have the authority to enter into this Agreement.
