Likeness Release Agreement

This Likeness Release Agreement (the "Agreement") is made effective as of by and between Releasor Name: , residing at (the "Releasor"), and Releasee Name: , with principal place of business at (the "Releasee").

Recitals

WHEREAS, Releasor possesses rights in and to certain personal likeness, image, voice, performance and other identifiable personal characteristics (collectively, "Likeness"); and

WHEREAS, Releasee desires to capture, record, reproduce and use the Likeness in connection with certain media, materials and productions as described below; and

WHEREAS, Releasor is willing to grant Releasee the rights set forth in this Agreement in consideration of the promises and consideration set forth herein.

Now, therefore

In consideration of the mutual covenants contained in this Agreement and other good and valuable consideration acknowledged as received, the parties agree as follows:

1. Definitions

"Materials" means all photographs, video, audio recordings, digital images, edited cutdowns, derivative works, promotional pieces, and any other medium containing the Likeness created by or on behalf of Releasee. "Permitted Uses" means the purposes for which Releasee may exploit the Materials as set forth in Section 3.

2. Grant of Rights

Releasor hereby irrevocably grants to Releasee, and Releasee's licensees, successors and assigns, an exclusive, perpetual, worldwide, transferable, sublicensable right and license to use, reproduce, distribute, publish, display, perform, modify and create derivative works of the Likeness included in the Materials, in any and all media now known or hereafter devised, for commercial, advertising, promotional, educational, archival or any other lawful purpose.

3. Permitted Uses and Restrictions

Releasee may use the Materials for the following permitted uses:

Releasee shall not use the Materials in a manner that is unlawful or defamatory. Releasee shall not state or imply that Releasor endorses any product, service or political candidate without a separate written endorsement agreement signed by Releasor.

4. Consideration

The parties acknowledge that the compensation set forth above constitutes full and sufficient consideration for the rights granted hereunder. Payment terms and any expenses to be reimbursed shall be as follows:

Releasor hereby releases, discharges and holds harmless Releasee and its officers, directors, employees, agents, licensees and assigns from any and all claims, demands, causes of action, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of or in connection with Releasee's use of the Likeness in accordance with this Agreement, including without limitation claims for invasion of privacy, defamation, false light, appropriation of likeness or rights of publicity.

6. Moral Rights

To the extent permitted by applicable law, Releasor irrevocably waives and agrees not to assert any moral rights or attribution rights in connection with the Materials and grant of rights herein. Releasor agrees that Releasee may alter, edit, crop or modify the Materials at Releasee's discretion.

7. Representations and Warranties

Releasor represents and warrants that Releasor is at least eighteen (18) years of age, has full right, power and authority to enter into this Agreement, owns all rights in the Likeness necessary to grant the rights herein, and that the exercise of such rights will not violate the rights of any third party. Releasor will immediately notify Releasee in writing of any claim by a third party that would affect Releasee's rights hereunder.

8. Indemnification

Releasor agrees to indemnify, defend and hold Releasee harmless from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of Releasor's representations, warranties or covenants set forth in this Agreement.

9. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Term and Termination

The rights granted under this Agreement are perpetual and irrevocable, subject to termination only for material breach which remains uncured for thirty (30) days after written notice. Termination shall not affect Releasee's right to continue to use Materials created prior to termination in accordance with the license granted herein.

11. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by written notice. Notices shall be deemed given upon delivery by hand, by confirmed courier, or three (3) days after deposit in the mail if mailed by certified mail.

12. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the specified state for resolution of disputes arising out of this Agreement.

13. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and shall be construed so as to effectuate the intent of the parties as reflected herein.

14. Amendments; Waiver; Counterparts

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure or delay by either party to exercise any right shall not operate as a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. Miscellaneous

The headings in this Agreement are for convenience only and shall not affect its interpretation. The obligations and benefits of this Agreement shall inure to the benefit of and be binding upon the parties and their respective heirs, legal representatives, successors and assigns.
