LIMITED AGENCY AGREEMENT

Recitals

WHEREAS, Principal desires to engage Agent to perform limited acts on Principal's behalf for the specific purposes set forth below; and

WHEREAS, Agent represents that Agent has the experience and capacity to perform the limited authority described in this Agreement and agrees to act only within the scope of authority expressly granted herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Authority

Agent is authorized to act on behalf of Principal solely for the limited purposes described below. Agent shall have no authority to act for Principal beyond the specific duties and limitations set forth in this section.

Payment Terms

Principal shall compensate Agent for services performed under this Agreement as follows.

Term and Termination

This Agreement commences on the Effective Date and continues until the Term Expires date above, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the intended termination date.

Principal may terminate immediately for cause if Agent breaches any material term of this Agreement, engages in willful misconduct, gross negligence, fraud, or acts outside the expressly granted authority. Termination shall be without prejudice to any remedies available at law or in equity.

Confidentiality

Agent shall hold in strict confidence and shall not disclose to any third party any nonpublic information received from Principal in connection with the performance of duties under this Agreement, except as required by law or to the extent necessary to perform the Scope of Authority. Confidential information does not include information that is or becomes publicly available other than through the Agent's breach of this Agreement.

The confidentiality obligations shall survive termination of this Agreement for a period of following termination, except with respect to trade secrets, for which protection shall continue for as long as permitted by law.

Representations, Indemnification and Liability

Each party represents that it has the full power and authority to enter this Agreement. Agent agrees to perform duties in good faith and in accordance with applicable law.

Agent shall indemnify, defend, and hold Principal harmless from and against any claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from Agent's willful misconduct, fraud, gross negligence, or acts outside the scope of authority granted by this Agreement. Principal shall indemnify Agent for claims arising from Principal's breach or misrepresentation.

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, or punitive damages.

Independent Contractor; Non-Assignment

Agent is an independent contractor and not an employee, partner, or joint venturer of Principal. Agent shall be solely responsible for all taxes, insurance, and benefits arising from compensation paid by Principal.

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Principal may assign to an affiliate upon written notice.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or such other address as a party may designate by written notice. Notices shall be deemed given when delivered in person, by overnight courier, or three business days after deposit with the U.S. postal service (or comparable service) if mailed.

Governing Law; Entire Agreement; Amendment

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Severability; Enforcement

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The prevailing party in any dispute arising under this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Acknowledgment

Each party acknowledges that it has read and understands this Agreement, had the opportunity to seek independent counsel, and agrees to be bound by its terms.
