LIMITED SCOPE REPRESENTATION AGREEMENT

RECITALS

WHEREAS, Client seeks legal services limited in scope for the matter described below; and

WHEREAS, Attorney is duly licensed and authorized to provide legal services and is willing to perform only those services expressly set forth in this Agreement; and

WHEREAS, Client acknowledges that limited scope representation may involve risks, including but not limited to the assumption of some self-help responsibilities by Client and potential limitations on attorney duties.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. SCOPE OF REPRESENTATION

2. LIMITED AUTHORITY AND CLIENT RESPONSIBILITIES

Client understands and agrees that Attorney's authority is limited to the tasks expressly set forth in this Agreement. Client remains responsible for all other aspects of the Matter, including but not limited to filing deadlines, providing information and documents, attending hearings or conferences where Attorney is not appearing, and complying with court orders.

Client shall cooperate fully, provide truthful information, supply documents in a timely manner, and notify Attorney promptly of any developments. Failure to cooperate may justify termination of representation and may prejudice Client's rights.

3. FEES, RETAINER AND BILLING

Communications between Attorney and Client that are intended to be confidential and for the purpose of obtaining legal advice are protected by the attorney-client privilege. Client authorizes Attorney to take reasonable steps to preserve confidentiality, but Client acknowledges that limited scope representation may require disclosure to third parties for performance of selected tasks.

5. CONFLICTS OF INTEREST

Attorney certifies that, to Attorney's knowledge at the time of signing, there are no conflicts that would prohibit the limited scope representation. If a conflict arises during representation, Attorney will notify Client and, if required by professional rules, will withdraw or seek written informed consent for continued representation.

6. TERMINATION; WITHDRAWAL

Either party may terminate this Agreement at any time by written notice to the other. Attorney may withdraw for good cause, including client's failure to cooperate, nonpayment, or any conflict of interest. Upon termination, Client is responsible for fees and costs incurred up to the date of termination. Attorney will take reasonable steps to protect Client's interests, including giving Client reasonable notice, surrendering papers and property, and refunding any unearned retainer.

7. DOCUMENTS, FILES AND RETENTION

Client authorizes Attorney to retain copies or originals of Client's file for recordkeeping. Unless otherwise requested in writing, Attorney may destroy closed-file materials after a reasonable retention period. Upon termination or request, Attorney will deliver Client's original documents to Client upon payment of outstanding fees and costs.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as the party may designate by written notice to the other.

9. AMENDMENT; WAIVER

This Agreement may be amended or modified only by a written instrument signed by both parties. No waiver of any provision will be effective unless in writing and signed by the waiving party. A waiver of any breach shall not constitute a waiver of any subsequent breach.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by the laws of the state in which Attorney is licensed, without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties regarding the limited scope representation and supersedes all prior oral or written understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. ACKNOWLEDGMENTS
