PAYMENT TERMS

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date. CONFIDENTIALITY

Each party agrees that all non-public information disclosed by one party to the other in connection with this Agreement, including but not limited to financial terms, operation procedures, application materials, and purchaser identity ("Confidential Information"), shall be kept strictly confidential and shall not be disclosed to any third party except as required by law or to professional advisors under obligations of confidentiality. The receiving party shall use Confidential Information solely for the purposes of performing this Agreement.

COMPLIANCE, REPRESENTATIONS AND INDEMNIFICATION

Each party represents and warrants that it has full authority to enter into and perform its obligations under this Agreement and that performance will comply with all applicable liquor, licensing and public safety laws and regulations. License Holder represents that the license is free of liens and encumbrances except as disclosed in writing. Recipient shall indemnify and hold harmless License Holder for any claims arising from Recipient's operation or post-transfer violations of law, and License Holder shall indemnify Recipient for any claims arising from pre-existing encumbrances or misrepresentations regarding the license.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in that State.

ENTIRE AGREEMENT

This Agreement, including all schedules and exhibits attached hereto, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior proposals, negotiations, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and executed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that remedies at law for breach of certain provisions, including confidentiality obligations, may be inadequate and that injunctive relief may be appropriate.
