Either party may terminate the submission process upon written notice delivered not fewer than days prior to termination. Termination shall not affect any rights or obligations accrued prior to termination.

CONFIDENTIALITY

Recipient agrees to hold submitted materials in confidence and to disclose them only to employees, affiliates, agents, or contractors with a need to know for the purpose of evaluating the submission, provided that such persons are bound by confidentiality obligations at least as protective as those set forth herein. Recipient shall not exploit, publish, distribute, or otherwise use the submission except as permitted under a subsequent written agreement.

If requested in writing by Author within days following the end of the review period or upon termination, Recipient will return or securely destroy any physical or digital copies of the submission and certify such destruction in writing.

REPRESENTATIONS, WARRANTIES, AND INDEMNITY

Author represents and warrants that Author is the sole owner of the submitted materials, that the materials do not infringe any third-party rights, and that Author has the full right and authority to submit the materials. Author will indemnify and hold Recipient harmless from any third-party claim arising from Author's breach of these representations.

RIGHTS GRANTED FOR REVIEW

For the sole purpose of evaluation, Author grants Recipient a limited, non-exclusive, non-transferable right to possess and review the submitted materials during the review period. No rights to publish, reproduce, license, adapt, or otherwise exploit the materials are granted except by a separate written agreement signed by both parties.

GOVERNING LAW

This packet and any disputes arising out of or related to the submission shall be governed by the laws of the State of without regard to conflict-of-law principles.
