RECITALS

WHEREAS, Seller is the record and beneficial owner of certain membership interest(s) in the LLC described above and desires to sell, assign and transfer to Buyer, and Buyer desires to purchase from Seller, the membership interest(s) on the terms set forth herein; and

WHEREAS, the parties intend for this Agreement to set forth the terms, conditions and mechanics of the transfer, including payment of purchase price, allocation of liabilities, and any consents required under the LLC operating agreement;

WHEREAS, the parties desire to memorialize supplemental covenants, representations and warranties necessary to effectuate the transfer and to protect the business and confidential information of the LLC.

Seller hereby agrees to sell, assign and transfer to Buyer, and Buyer agrees to purchase from Seller, the following interest(s) in the LLC:

REPRESENTATIONS AND WARRANTIES

Seller represents and warrants that Seller is the sole legal and beneficial owner of the interest being transferred, such interest is free and clear of liens (except as disclosed), Seller has full authority to sell the interest, and no consent of any other person is required except as listed in the LLC's operating agreement or disclosed herein.

CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party any non-public information regarding the LLC's business, financials, proprietary processes and trade secrets disclosed in connection with this transaction, except as required by law or to advisors bound by confidentiality. The obligations in this section shall continue for years following the Closing.

INDEMNIFICATION

Seller shall indemnify, defend and hold Buyer harmless from and against any losses, liabilities, damages or claims arising from Seller's breach of a representation, warranty or covenant contained in this Agreement. Buyer shall indemnify Seller for Buyer breaches accordingly. The indemnifying party shall pay reasonable attorneys' fees and costs incurred by the indemnified party in enforcing this indemnity.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.
