Lender represents and warrants that it has full authority to approve the Adjustment and that, upon execution and delivery, the Adjustment shall amend the Loan Documents as set forth herein, subject to the Conditions Precedent.

Default, Remedies and Effect of Adjustment

Except as expressly modified herein, all terms, covenants and obligations of the Loan Documents remain in full force and effect. Borrower acknowledges that any breach of the adjusted terms shall constitute a default under the Loan Documents and entitle Lender to exercise all rights and remedies available at law or in equity, including acceleration, foreclosure, and recovery of costs and attorneys’ fees.
