Borrower represents and warrants that: (a) Borrower is duly organized and has full power to execute and perform this Agreement; (b) the execution and performance do not violate any agreement or law; (c) the financial statements and information provided to Lender are true and complete in all material respects; and (d) no default or event of default exists.

COVENANTS

Borrower covenants to: (a) apply loan proceeds solely for the purpose stated herein; (b) maintain accurate books and records and permit Lender to inspect them upon reasonable notice; (c) comply with applicable laws; and (d) promptly notify Lender of any material adverse change.

Events of Default include nonpayment when due, breach of representations or covenants, insolvency of Borrower, or any material default under other material agreements. Upon Event of Default, Lender may accelerate all amounts due, exercise rights against collateral, collect costs and attorneys' fees, and pursue any remedy available at law or in equity.
