All notices required or permitted under this Amendment shall be given in writing and delivered to the parties at the addresses set forth below or to such other address as a party designates by written notice to the other party.

Miscellaneous

Counterparts; Governing Law; Entire Agreement. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. This Amendment shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Except as expressly amended herein, the Original Loan and any related security documents remain in full force and effect.
