Any discussions, term sheets, proposals, indicative pricing or other non-binding documents exchanged between the parties are for discussion purposes only and create no obligation on the part of Lender to provide financing. Only a fully executed loan agreement and related definitive documents, each executed by all required parties, shall create binding obligations to make or repay a loan.

PAYMENT TERMS (IF APPLICABLE)

Any payment terms described above are illustrative and non-binding until incorporated into a final executed loan agreement. Interest rates, fees, and repayment schedules are subject to credit approval, satisfaction of conditions precedent, and execution of definitive documentation.

TERM AND TERMINATION

This Disclaimer shall commence on the Effective Date and continue until unless earlier terminated by either party upon written notice to the other party delivered at least days prior to the intended termination date.

CONFIDENTIALITY

Each party agrees to maintain in confidence all non-public business, financial and technical information disclosed by the other party in connection with the Proposed Loan ("Confidential Information"). Confidential Information shall not include information that is or becomes generally available to the public other than through a breach of this Disclaimer, or that is lawfully received from a third party without restriction. The obligations of confidentiality shall survive termination of this Disclaimer for a period of three (3) years.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the power and authority to enter into this Disclaimer and that the execution and delivery of this Disclaimer has been duly authorized. The Borrower represents that any information provided to Lender in connection with the Proposed Loan is true, complete and accurate in all material respects as of the date provided.

NO LEGAL, TAX OR INVESTMENT ADVICE

Neither party is providing legal, tax, accounting or investment advice by reason of the discussions contemplated by this Disclaimer. Each party acknowledges that it has had the opportunity to consult its own legal and financial advisors regarding the Proposed Loan and the meaning and effect of this Disclaimer.

GOVERNING LAW
