RECITALS

WHEREAS, Lender and Borrower have entered into a certain Loan Agreement dated (the Loan Agreement), pursuant to which Lender agreed to make a loan to Borrower on the terms and conditions set forth in the Loan Agreement; and

2. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) the execution, delivery and performance of this Signature Page and the Loan Agreement have been duly authorized by all necessary corporate or other action; (c) the person signing below on behalf of such party is duly authorized to execute and deliver this Signature Page and to bind such party; and (d) upon execution, this Signature Page and the Loan Agreement will constitute legal, valid and binding obligations of such party enforceable in accordance with their respective terms.

3. EFFECT OF SIGNATURE PAGE

By executing this Signature Page, each party confirms that it has received a copy of the Loan Agreement, has reviewed its terms and conditions, and agrees that the Loan Agreement, as supplemented by this Signature Page, will govern the rights and obligations of the parties with respect to the loan transaction described therein.

4. NOTICES

All notices, requests, demands and other communications required or permitted under this Signature Page shall be given in accordance with the Notice provisions of the Loan Agreement, or to the addresses set forth above by personal delivery, registered or certified mail (return receipt requested), overnight courier, or other means expressly permitted under the Loan Agreement.

5. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Signature Page or the Loan Agreement shall be effective unless in writing and executed by the party or parties against whom enforcement is sought. The failure of any party to enforce any provision shall not be construed as a waiver of any subsequent breach or default.

This Signature Page and the Loan Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Loan Agreement. If no jurisdiction is specified therein, the parties agree that the governing law shall be:

The Loan Agreement, together with this Signature Page, constitutes the entire agreement among the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Signature Page is held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision, and this Signature Page shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein.

8. COUNTERPARTS; ELECTRONIC SIGNATURES

This Signature Page may be executed in any number of counterparts, each of which when so executed shall be deemed an original, but all of which together shall constitute one and the same instrument.
