Security, Collateral, and Perfection

As a condition to disbursement, Borrower shall grant security interests and deliverable instruments as set forth below. Borrower shall execute and deliver all instruments, financing statements, documents and take all actions reasonably required to perfect and maintain the Lender's security interest.

Representations, Warranties and Covenants

Borrower represents and warrants that: (a) Borrower is duly organized, validly existing and in good standing; (b) execution and delivery of this Agreement and the performance of Borrower's obligations do not violate any material agreement or law; (c) financial statements provided to Lender fairly present Borrower's financial condition as of their dates; and (d) no event of default exists. Borrower covenants to preserve its organizational existence, comply with laws material to operations, and promptly notify Lender of any material adverse change.

Events of Default and Remedies

The following constitute Events of Default: Borrower's failure to make any payment when due; breach of representations, warranties or covenants; insolvency, bankruptcy or appointment of a receiver; cross-default to other material indebtedness; or any material adverse change in Borrower's financial condition. Upon Event of Default, Lender may declare all amounts immediately due and payable, accelerate the loan, enforce security, set off, and pursue any remedies available at law or equity.

Fees, Costs and Indemnity

Borrower shall pay all reasonable costs and expenses incurred by Lender in connection with the preparation, negotiation, enforcement and administration of this Agreement, including reasonable attorneys' fees, filing fees, and costs of perfection of security interests. Borrower shall indemnify and hold Lender harmless from liabilities arising out of Borrower's breach or misrepresentation.

Notices

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties agree that any disputes arising out of or relating to this Agreement shall be resolved through the courts of that jurisdiction unless otherwise agreed in writing.
