LOAN COMMITMENT AGREEMENT

This Loan Commitment Agreement (the Agreement) is entered into as of (the Effective Date), by and between:

1. Commitment

Subject to the terms and conditions set forth herein, Lender agrees to make available to Borrower a committed loan facility (the Facility) in an aggregate principal amount not to exceed (the Commitment Amount). The Commitment shall terminate on (the Commitment Expiry Date) unless earlier terminated in accordance with this Agreement.

2. Purpose and Borrowings

Borrowings under the Facility shall be made by Borrower delivering a duly completed Notice of Borrowing to Lender no later than days prior to the requested funding date. Each borrowing shall be in a minimum principal amount of and integral multiples thereof.

3. Interest and Fees

Interest on outstanding principal shall accrue at an annual rate equal to percent per annum, computed on the basis of a 360-day year and actual days elapsed. Interest shall be payable in arrears.

4. Repayment; Prepayment

The principal and accrued interest shall be repaid in accordance with the repayment schedule described below. Prepayment of outstanding principal is permitted subject to any prepayment premium set forth below and subject to prior notice of days.

5. Conditions Precedent

Lender's obligation to fund any borrowing is subject to the satisfaction of each of the following conditions precedent, in Lender's sole discretion:

Executed Facility Agreement and Promissory Note.

Borrower's corporate authorizations and board resolutions.

No material adverse change in Borrower's business, assets, operations or financial condition.

Counsel's legal opinion, reasonably satisfactory to Lender.

Evidence of insurance required under this Agreement.

Borrower shall indemnify and hold harmless Lender from and against any loss, liability, cost or expense (including reasonable attorneys' fees) incurred by Lender arising out of or in connection with this Agreement, except to the extent resulting from Lender's gross negligence or willful misconduct. Borrower shall pay all documented out-of-pocket costs of enforcing this Agreement.
