LOAN FORGIVENESS AGREEMENT

This Loan Forgiveness Agreement (the Agreement) is made effective as of between:

Recitals

A. Lender extended a loan to Borrower under that certain loan agreement identified as dated (Original Loan).

B. As of the Effective Date, the outstanding principal balance, accrued interest, and other unpaid amounts due under the Original Loan are set forth in Schedule A attached hereto.

Agreement to Forgive

Subject to the terms and conditions of this Agreement, Lender hereby forgives the following obligation(s) of Borrower:

Full forgiveness of the outstanding obligation
Partial forgiveness in the amount of (the Forgiven Amount)

The Forgiveness shall be effective on (Effective Date), provided that the Conditions Precedent set forth below have been satisfied or waived in writing by Lender.

Conditions Precedent

The obligation to forgive is expressly conditioned upon Borrower satisfying each of the following prior to the Effective Date:

Release and Discharge

Upon the Effective Date and satisfaction of the Conditions Precedent, Lender shall be deemed to have released, acquitted, and forever discharged Borrower from liability for the Forgiven Amount, and Borrower shall be released from any further obligation to repay the Forgiven Amount under the Original Loan. Except as expressly provided in this Agreement, all other terms of the Original Loan shall remain in full force and effect.

Payment and Remaining Obligations

Any outstanding balance not forgiven remains payable in accordance with the Original Loan terms, except as modified by written agreement of the parties. Accrued interest forgiven, if any, is specified in Schedule A.

Tax Treatment and Indemnity

Borrower acknowledges that forgiveness of indebtedness may have tax consequences. Borrower agrees to bear responsibility for any tax liabilities resulting from the forgiveness unless otherwise required by law. Borrower shall indemnify, defend, and hold Lender harmless from and against any tax-related claims arising from the Forgiven Amount, except to the extent such claims result solely from Lender's gross negligence or willful misconduct.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and delivery of this Agreement and the performance of its obligations will not violate any law or agreement by which it is bound, and that this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

Default

If Borrower materially breaches any covenant or representation contained in this Agreement or fails to satisfy any Condition Precedent, Lender's obligation to forgive shall be voidable at Lender's option and Lender may pursue all remedies available under the Original Loan and at law or in equity.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate in writing).

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements.
