LOAN INDEMNITY AGREEMENT

Effective Date:

RECITALS

WHEREAS, Indemnitee made or will make available a loan to Borrower in the principal amount of $ pursuant to a loan agreement dated (the "Loan");

WHEREAS, Indemnitor has agreed to indemnify, defend and hold harmless Indemnitee from and against certain losses and liabilities arising out of or relating to the Loan and Borrower’s obligations thereunder on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment terms, term and other contractual allocations of risk and responsibility in writing.

SCOPE OF WORK

The scope below describes the indemnity obligations and any ancillary duties to be performed by Indemnitor in connection with the Loan.

INDEMNITY OBLIGATIONS

Indemnitor shall indemnify, defend and hold harmless Indemnitee and its officers, directors, agents and affiliates (collectively, "Indemnitee Parties") from and against any and all losses, liabilities, damages, claims, demands, costs and expenses (including reasonable attorneys' fees, court costs and disbursements) (collectively, "Losses") arising out of or relating to: (a) any default by Borrower under the Loan; (b) any misrepresentation or breach of warranty by Indemnitor or Borrower related to the Loan; and (c) any suit or claim asserted by a third party relating to the Loan to the extent caused by Indemnitor or Borrower. For avoidance of doubt, Losses include amounts paid to cure defaults, foreclosure expenses, costs of collection and reasonable fees of counsel reasonably incurred by Indemnitee.

Excluded from this indemnity are Losses to the extent finally determined by a court of competent jurisdiction to have resulted from the gross negligence or willful misconduct of an Indemnitee Party.

NOTICE OF CLAIM AND DEFENSE

Indemnitee shall promptly notify Indemnitor in writing of any claim, demand or action for which indemnification may be sought; provided, failure to give prompt notice shall not relieve Indemnitor of its obligations except to the extent that Indemnitor is materially prejudiced thereby. Written notice must be given within days of the Indemnitee's receipt of facts giving rise to the claim.

Indemnitor shall have the right to assume and control the defense of any such claim with counsel reasonably acceptable to Indemnitee; provided, however, Indemnitee may, at its option and expense, participate in the defense. No settlement of any claim that would impose liability or obligations on Indemnitee or contain an admission of fault by Indemnitee shall be entered into by Indemnitor without the prior written consent of Indemnitee, which consent shall not be unreasonably withheld.

PAYMENT TERMS

Indemnitor shall promptly reimburse Indemnitee for all Losses for which Indemnitee seeks indemnification under this Agreement upon delivery of a reasonably detailed invoice and supporting documentation. Payment shall be made in United States dollars within days after Indemnitor's receipt of such invoice.

If any payment required under this Section is not paid when due, Indemnitor shall pay interest on the unpaid amount at a rate of percent per month (or the maximum rate permitted by law), computed monthly from the date due until paid.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until unless earlier terminated in accordance with this Section. Either party may terminate this Agreement upon written notice to the other party delivered at least days prior to the effective date of termination. Termination shall not relieve Indemnitor of liability for obligations that accrued prior to the effective date of termination, including indemnification obligations arising from events occurring prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"), and shall not disclose such Confidential Information to any third party except as required by law or as necessary to enforce rights under this Agreement. This obligation shall survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW; ATTORNEYS' FEES

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The prevailing party in any action to enforce this Agreement shall be entitled to recover its reasonable attorneys' fees and costs.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Indemnitee may assign this Agreement to an affiliate or to any successor by merger or acquisition.

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected, and the parties shall endeavor in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the intended economic effect of the invalid provision.

What a Loan Indemnity Agreement Is and when it matters

A Loan Indemnity Agreement is a contract where one party (the indemnitor) agrees to protect another party (the indemnitee, often a lender) from losses, claims, or liabilities arising from a specified loan or related transaction. Typical uses include guaranties for commercial loans, indemnities for closing-related liabilities, and protections for lenders against borrower defaults or third-party claims. The agreement defines the circumstances that trigger indemnity, the scope of covered losses, any caps or exclusions, and how and when the indemnitor must reimburse the indemnitee for expenses, judgments, or defense costs.

Why a clear indemnity clause benefits lenders and borrowers

A well-drafted Loan Indemnity Agreement allocates risk, clarifies responsibility for legal costs, and reduces ambiguity during disputes. It helps lenders preserve recovery options and gives indemnitors clear notice of when financial responsibility attaches.

Why a clear indemnity clause benefits lenders and borrowers

Who commonly prepares and signs a Loan Indemnity Agreement

Typical parties include commercial lenders, guarantors, borrower counsel, and closing agents involved in loan documentation.

Each party’s review focus differs: lenders on scope and remedies, indemnitors on caps, exclusions, and notice requirements.

Primary signer roles

Lender — Counsel

Bank or institutional counsel reviews indemnity scope to ensure lender recovery paths and cost reimbursement mechanisms are enforceable. They confirm remedies, subrogation rights, and notification procedures to preserve claims and minimize exposure.

Indemnitor — Representative

The indemnitor or guarantor (individual or entity) must confirm financial capacity and precise obligations. Their representative evaluates caps, carve-outs for negligence, and triggering events that impose payment obligations.

Core components to include in a professional indemnity agreement

Include clear, unambiguous provisions that define triggers, limits, procedures, and dispute resolution to reduce later conflict and ease enforcement.

Indemnity Clause

Specific language that defines what losses, claims, and expenses the indemnitor will reimburse, including defense costs and judgments.

Scope & Exclusions

Precise list of covered events and exclusions (e.g., intentional misconduct, lender’s gross negligence, or consequential damages).

Monetary Limits

Caps, step-down schedules, or aggregate limits that control the indemnitor’s maximum financial exposure.

Notice & Defense

Procedures for providing notice of claims, the indemnitee’s duty to mitigate, and rights to control or join in defense counsel selection.

Subrogation Rights

Lender’s right to pursue recovery from third parties after indemnitor reimburses losses; assignment and recovery mechanics.

Governing Law & Remedies

Choice of law, venue, available equitable relief, and attorney fee shifting where permitted by statute or agreement.

Security, compliance, and platform considerations

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Audit Trail: Comprehensive timestamp and IP log for each signing event
HIPAA Support: HIPAA-compliant workflows available (BAA required)
21 CFR Part 11: Controls for FDA-regulated records supported
SOC 2: SOC 2 Type II certification available
Accessibility: WCAG 2.0 Level AA conformance

Step-by-step: filling out a Loan Indemnity Agreement

Follow this sequence to complete the agreement accurately and reduce later disputes.

  • 01
Identify parties: Enter full legal names and entity types exactly as on formation documents.
  • 02
Define obligations: State triggering events, covered losses, and any exclusions in plain language.
  • 03
Set monetary terms: Specify caps, payment timing, and recovery mechanics for reimbursements.
  • 04
Sign and record: Obtain required signatures, notarizations, and record with county if necessary.

How digital completion and routing typically flows

Modern workflows let parties sign remotely while preserving a detailed transaction record for enforceability and audits.

  • Prepare document: Upload final agreement and place signature, date, and initial fields.
  • Add signers: Assign roles and set signing order or allow parallel signing.
  • Authenticate signers: Choose email, SMS code, or stronger authentication if required.
  • Complete and store: Platform issues completed PDF with audit trail and stores it securely.

Typical field settings for an eSignature workflow

Configure these settings to match legal requirements and your internal controls before sending the agreement for signature.

Field Configuration
Signature Order Sequential or parallel per lender preference
Authentication Email link, SMS OTP, or KBA for higher assurance
Document Locking Prevent edits after final signature
Notifications Automated reminders and completion emails

Technical and integration requirements for secure e-signing

Confirm platform features and integrations required for compliant digital execution.

  • Integrations: Salesforce, NetSuite, Microsoft 365 supported
  • File formats: PDF, DOCX, and HTML import/export
  • Authentication: SMS, email OTP, and SSO available

Choose a provider that supports your ecosystem, audit-trail needs, and any industry-specific compliance such as HIPAA or 21 CFR Part 11.

Common timing checkpoints to track during execution

Track execution, funding, recording, and notice periods to ensure obligations are timely and prevent unintended defaults.

Execution Date:

Date parties sign; ties to obligation effective date and notice windows

Effective Date:

Often the execution date or specified funding date when obligations commence

Funding/Closing:

Align indemnity obligations with loan funding or security perfection events

Recording Deadline:

Record mortgage or related instrument promptly; many counties record within 7–30 days

Claims Notice Window:

Contract may require prompt written notice within a specified number of days

Key risks and consequences of a flawed indemnity agreement

Unenforceable Clauses: Overbroad or ambiguous terms can lead courts to limit or void indemnity
Missing Signatures: Unsigned pages or incorrect signatory capacity can invalidate obligations
Improper Notarization: Incorrect notary procedures risk record rejection or enforcement challenges
Late Recording: Delay in recording security instruments may impair priority or perfection
Tax Consequences: Incorrect reporting or backup withholding exposure for related payments
Defense Costs: Failure to specify defense control may create disputes over counsel selection
