LOAN LLC AGREEMENT

This Loan Agreement (the Agreement) is made and entered into on by and between:

1. Loan; Principal Amount

Subject to the terms and conditions of this Agreement, Lender agrees to lend to Borrower and Borrower agrees to borrow from Lender the principal sum of (the Principal). The Principal shall be disbursed in accordance with the payment instructions set forth in Section 6.

Borrower represents and warrants that: (a) Borrower is a duly organized and validly existing limited liability company in good standing under the laws of ; (b) execution and performance of this Agreement are within Borrower's power and have been duly authorized; and (c) no other agreement or obligation prevents Borrower from granting the security interest described herein.

8. Events of Default

The following shall constitute Events of Default: (a) Borrower's failure to make any payment when due and such failure continues for more than 5 days after notice; (b) Borrower's breach of any representation, warranty or covenant that remains uncured for 30 days after notice; (c) insolvency, bankruptcy filing, appointment of a receiver for Borrower; or (d) any lien or encumbrance asserted against the collateral other than permitted liens.

9. Remedies; Acceleration

Upon an Event of Default, Lender may declare the entire unpaid Principal and accrued interest immediately due and payable and exercise all rights and remedies available under the Uniform Commercial Code and other applicable law. Lender's remedies are cumulative and in addition to any other rights provided by law or equity.

10. Fees; Costs; Late Charges

Borrower shall pay all reasonable costs of collection, including attorneys' fees and court costs, incurred by Lender in enforcing this Agreement. A late charge of or of the overdue payment, whichever is greater, shall apply to payments more than 10 days past due.

11. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

12. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of state and federal courts located in that state for any dispute arising under this Agreement.

13. Miscellaneous

No amendment or waiver of any provision of this Agreement shall be effective unless in a written instrument signed by the party against whom enforcement is sought. Borrower may not assign its rights or obligations without Lender's prior written consent. This Agreement binds and benefits the parties and their respective successors and permitted assigns. If any provision is held invalid, the remainder shall remain in full force.
