Prepayment: Borrower may prepay in whole or in part at any time without premium or penalty, unless otherwise provided herein. Prepayments shall be applied first to accrued interest, then to principal, unless the Lender provides written notice of a different allocation.

Fees, Default, and Remedies

Late Fee: If any scheduled payment is not paid within days after its due date, Borrower shall pay a late fee equal to the greater of $ or of the overdue payment.

Default: Borrower will be in default if Borrower (a) fails to make any payment when due and such failure continues for days after written notice from Lender; (b) becomes insolvent; or (c) materially breaches any representation, warranty, or covenant in this Agreement.

Remedies: Upon default, Lender may declare the entire outstanding principal, accrued interest, and fees immediately due and payable, exercise rights against any collateral described below, and pursue any other remedies available at law or in equity.

Representations, Warranties and Covenants

Each party represents and warrants that it has the authority to enter into this Agreement and that the execution and delivery of this Agreement and the performance of its obligations hereunder do not and will not violate any applicable law or agreement binding upon it.

Borrower represents that the information concerning Borrower’s financial condition provided to Lender in connection with this Agreement is complete and accurate as of the date hereof. Borrower covenants to notify Lender promptly of any material adverse change in Borrower’s financial condition.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above (or to such other address as a party designates by notice). Notices shall be effective upon receipt.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.
