Upon Event of Default the Lender may declare the entire Outstanding Balance immediately due and payable and exercise all remedies available under the loan documents and applicable law.

2. Remedies and Costs: The prevailing party in any dispute arising out of this Resolution shall be entitled to recover reasonable attorneys' fees, costs, and expenses. The remedies contained herein are cumulative and in addition to any other remedies at law or equity.

3. No Waiver; Modification in Writing: No failure or delay by either party in exercising any right shall operate as a waiver of that right. Any modification or waiver of the terms of this Resolution must be in a written instrument signed by both parties.
