Scope of Prequalification

The scope of Lender's prequalification analysis shall be limited to a preliminary review of Applicant's credit profile, income documentation as provided, assets, and the information and documentation expressly provided by Applicant. This prequalification is an estimate only and is expressly conditioned upon the representations, verifications and requirements in this Agreement.

Credit and Documentation Conditions

Applicant acknowledges that issuance of a prequalification statement is contingent upon Lender's receipt and satisfactory review of documentation including but not limited to pay stubs, tax returns, bank statements, employment verification, and a credit report. Payment Terms

Late payments shall incur a late fee of percent of the unpaid balance after days. Collection costs and reasonable attorneys' fees shall be recoverable by Lender for unpaid fees.

Term and Termination

This Agreement shall commence on and the prequalification issued hereunder shall expire on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination does not relieve Applicant of obligations to pay fees earned prior to termination.

Confidentiality

Each party agrees to maintain as confidential all non-public information and documentation exchanged in connection with this Agreement and the prequalification process, and not to disclose such information except to its employees, agents, attorneys, affiliates, or as required by law or regulation. Notwithstanding the foregoing, Lender may disclose information to mortgage insurers, investors or secondary market participants where necessary to effectuate a loan application.

Representations, Warranties and Disclaimers

Applicant represents and warrants that all information provided to Lender is true, complete and correct to the best of Applicant's knowledge, and that Applicant will promptly furnish any additional documentation reasonably requested by Lender. Lender's issuance of a prequalification statement is an expression of Lender's current underwriting view based solely on preliminary documentation and is not a commitment to lend. Final approval is subject to full underwriting, appraisal, title review and compliance with all applicable laws and program requirements.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, special, incidental or punitive damages arising from the prequalification process. Lender's total liability for any claim arising under this Agreement shall not exceed the total fees actually paid by Applicant to Lender under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.
