LOANER AGREEMENT

This Loaner Agreement (the Agreement) is entered into between Lender Name: and Borrower Name: on Agreement Date:

WHEREAS

WHEREAS, Lender is the lawful owner of certain equipment and has agreed to provide such equipment to Borrower on a temporary, non-transferable loan basis for the limited purposes set forth in this Agreement; and

WHEREAS, Borrower desires to accept temporary possession of the equipment for the limited term and subject to the terms, conditions, and payment obligations set forth herein.

SCOPE OF LOAN

Equipment Provided: Lender agrees to loan the equipment described below to Borrower for temporary use solely for the purposes expressly authorized by Lender. Borrower acknowledges receipt of the equipment in the condition described.

PAYMENT TERMS

Borrower shall pay Lender the fees and deposits described below as consideration for the loan of the equipment. All monetary amounts are in U.S. dollars unless otherwise stated.

Late Fee: In the event payment is not received when due, Borrower shall pay a late fee of on the overdue balance after a grace period of days.

TERM AND TERMINATION

Term: The loan term will commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Lender may immediately terminate and repossess the equipment if Borrower materially breaches this Agreement, fails to pay when due, or uses the equipment in violation of applicable law.

RETURN, CARE AND RISK OF LOSS

Borrower shall maintain the equipment in good working order, shall use commercially reasonable care, and shall return the equipment to Lender at Lender's designated location in the same condition as delivered, ordinary wear and tear excepted. Borrower assumes all risk of loss, theft, damage, or destruction of the equipment from the date of delivery until return or repossession by Lender.

INSURANCE

Borrower shall, at its expense, maintain insurance covering physical loss or damage to the equipment and commercial general liability insurance covering Borrower's use of the equipment; such insurance shall name Lender as an additional insured or loss payee as applicable, and shall be maintained in amounts adequate to cover replacement or repair of the equipment.

CONFIDENTIALITY

Each party shall keep confidential any proprietary or confidential information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except as necessary to perform its obligations hereunder or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party or was rightfully known prior to disclosure.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Borrower shall indemnify, defend and hold harmless Lender and its affiliates from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Borrower's possession, use, maintenance, storage, or operation of the equipment, except to the extent caused by Lender's gross negligence or willful misconduct.

Except for indemnification obligations and willful misconduct, neither party shall be liable for incidental, consequential, special, punitive or exemplary damages arising out of this Agreement whether based on contract, tort (including negligence), strict liability or otherwise.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, agreements, representations and understandings, whether written or oral. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice to the other.

MISCELLANEOUS

No waiver by either party of any breach of any provision of this Agreement shall be deemed a waiver of any subsequent breach of the same or any other provision. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
