LOCAL STAFF SALARIES AGREEMENT

This Local Staff Salaries Agreement (the Agreement) is entered into by and between:

RECITALS

WHEREAS, Employer requires local staff to perform operational functions within the jurisdiction of the Local Entity; and

WHEREAS, the parties wish to set forth agreed salary levels, allowances, employer contributions, payment terms and related compliance obligations for local staff who will be employed, seconded, or administered through the Local Entity.

TERM

This Agreement is effective as of: Day Month Year and shall continue in effect until terminated in accordance with the Termination clause below.

SALARY SCHEDULE

The parties agree the following salary schedule shall apply to local staff positions covered by this Agreement. Salaries are stated in the currency specified in each row.

PAYMENT TERMS

1. Payment Frequency: Employer shall reimburse/transfer payroll funds to Local Entity on a basis in accordance with the schedule set forth above.

2. Currency and Exchange: Payments shall be made in . Where conversion is required, the parties will use the exchange rate on the date of transfer unless otherwise agreed in writing.

3. Late Payment: Late payments shall incur a late fee equal to on the overdue amount, compounded monthly, in addition to any other remedies available under this Agreement or law.

BENEFITS, TAXES AND DEDUCTIONS

1. Tax Withholding: Local Entity shall be responsible for withholding and remitting local payroll taxes, social security contributions and any statutory deductions as required by applicable law, unless otherwise explicitly agreed in writing. Local Entity will provide Employer monthly evidence of remittances upon request.

2. Benefits: Employer acknowledges that employer contributions described in the salary schedule reflect anticipated statutory and contractual benefits. Any material changes in local statutory employer obligations shall be proposed in writing and may be reflected in an amended salary schedule.

RECORDS, AUDIT AND REPORTING

Local Entity shall maintain accurate payroll records, pay slips and tax filings for all covered staff for a minimum of seven (7) years and shall permit Employer or its authorized representative to audit such records upon reasonable notice during normal business hours. Any discrepancies identified by audit shall be remedied promptly by the party responsible.

TERMINATION AND DEFAULT

Either party may terminate this Agreement for convenience by providing written notice to the other. Termination for cause may occur immediately upon material breach that remains uncured after written notice. In the event of default, the non-defaulting party may pursue all remedies available at law or in equity.

CONFIDENTIALITY

Each party shall treat payroll data, employee personal data and compensation details as Confidential Information. Confidential Information shall not be disclosed except as required by law or with the prior written consent of the other party. Parties shall implement reasonable technical and organizational measures to protect Confidential Information.

INDEMNITY AND LIABILITY

Each party shall indemnify and hold the other harmless from and against claims, liabilities, losses and expenses arising from its breach of this Agreement, negligent acts or willful misconduct. Liability shall be limited to direct damages and shall exclude consequential or punitive damages except in cases of gross negligence or willful misconduct.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Local Entity is established. The parties shall attempt to resolve disputes amicably through good faith negotiations. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in accordance with the arbitration rules agreed by the parties.

AMENDMENTS

Any amendment to the salary schedule or other material term of this Agreement must be recorded in a written amendment signed by authorized representatives of both parties.

NOTICES

Notices required under this Agreement shall be delivered to the contact details provided above or to updated contact details delivered in writing by either party. Notices shall be deemed given when delivered in person, by courier, or by electronic transmission with confirmation.
