LOCATION RELEASE AGREEMENT

This Location Release Agreement ("Agreement") is entered into as of by and between Location Owner: (Owner) and Production Company / Licensee: (Producer). Owner and Producer are sometimes referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Owner is the lawful owner or authorized possessor of the real property and improvements commonly described as: (the "Premises"); and

WHEREAS, Producer desires to obtain from Owner certain rights to enter, occupy, photograph, record, and otherwise use the Premises for the production described below, and Owner is willing to grant such rights on the terms set forth in this Agreement; and

WHEREAS, the Parties wish to set forth their respective rights and obligations with respect to the use of the Premises for the production described as: .

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. GRANT OF RIGHTS

1.1 Grant. Owner hereby grants to Producer, subject to the terms and conditions of this Agreement, a non-exclusive (unless the exclusive box is checked: ) right and license to enter, occupy, photograph, record audio and/or video, and otherwise use the Premises for the production identified above (the "Production") during the Term defined below. The rights granted include the right to bring personnel, equipment, vehicles, set dressing, and temporary structures onto the Premises as necessary for the Production.

2. TERM; ACCESS; SCHEDULE

2.1 Term. The license granted herein shall commence on and terminate on (the "Term"), unless earlier terminated in accordance with this Agreement.

2.2 Access. Producer shall have access to the Premises during the hours of on scheduled dates, and only upon prior coordination with Owner's representative as identified in Section 10. Owner shall not unreasonably withhold access consistent with the agreed schedule.

3. CONSIDERATION AND PAYMENT

3.1 Fee. As consideration for the rights granted herein, Producer shall pay Owner a total fee of $ payable as follows:

4. CONDITION OF PREMISES; ALTERATIONS

4.1 Pre-Production Inspection. Producer accepts the Premises in its existing condition as of the Effective Date, except as otherwise expressly agreed in writing. Any existing defects or damage observed by Producer must be recorded in writing and signed by both Parties prior to commencement of use.

4.2 Alterations. Producer shall not make structural alterations or permanent modifications to the Premises without Owner's prior written consent. Temporary modifications (including removal of fixtures, painting, set construction) are permitted only with Owner's prior written approval and must be performed by qualified personnel. Any approved alterations must be removed and the Premises restored to their prior condition upon completion of the Production, subject to reasonable wear and tear.

5. INSURANCE; CERTIFICATES

5.1 Producer Insurance. Prior to entry, Producer shall, at its sole cost and expense, procure and maintain commercial general liability insurance, including contractual liability coverage, with limits no less than . Producer shall also maintain workers' compensation and automobile liability insurance as required by law.

5.2 Certificate. Producer shall deliver to Owner, prior to commencement of any activities on the Premises, a certificate of insurance naming Owner as an additional insured with respect to the Producer's commercial general liability policy and evidencing all required coverage.

6. INDEMNITY; LIMITATION OF LIABILITY

6.1 Producer Indemnity. Producer agrees to indemnify, defend and hold harmless Owner, its affiliates, officers, directors, agents and employees (collectively, the "Owner Indemnitees") from and against any and all claims, demands, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or related to Producer's access to, use of, or activities on the Premises, except to the extent caused by Owner's gross negligence or willful misconduct.

6.2 Owner Indemnity. Owner shall indemnify, defend and hold Producer harmless from claims arising from Owner's breach of representation regarding title or authority to grant the rights in this Agreement or from Owner's gross negligence or willful misconduct.

6.3 Limitation of Liability. Except for liabilities arising from indemnification obligations, willful misconduct, or personal injury and death, neither Party shall be liable to the other for incidental, consequential, special or punitive damages.

7. RESTORATION

7.1 Restoration Obligations. Following completion of Producer's activities, Producer shall remove all equipment, vehicles, set dressing and debris and restore the Premises to the condition in which they were received, reasonable wear and tear excepted. Restoration shall be completed no later than unless otherwise agreed in writing.

7.2 Failure to Restore. If Producer fails to restore the Premises within the agreed timeframe, Owner may undertake restoration and charge Producer for reasonable costs incurred, in addition to pursuing other remedies.

8. REPRESENTATIONS; AUTHORITY

Each Party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution, delivery and performance of this Agreement will not violate any law, regulation, contract or other obligation binding on such Party.

9. ASSIGNMENT; SUBCONTRACTORS

Producer shall not assign, transfer or delegate its rights or obligations under this Agreement without Owner's prior written consent, which shall not be unreasonably withheld. Producer may subcontract work so long as Producer remains responsible for subcontractor performance and compliance with this Agreement.

All notices, requests, consents and other communications hereunder shall be in writing and shall be delivered to the addresses set forth below (or to such other address as a Party may designate by notice):

11. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved first by good faith negotiation between senior representatives of the Parties, and if unresolved, by the courts of the governing state unless the Parties agree otherwise in writing.

12. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.

13. COUNTERPARTS; AUTHORITY

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatories represent that they are duly authorized to execute this Agreement on behalf of the Party for which they sign.
