LODGED DOCUMENT

This Lodged Document (the "Agreement") is entered into as of by and between:

Recitals

WHEREAS, Party A is submitting documents and related materials to be lodged for recording, registration or administrative acceptance in connection with the business transaction described herein; and

WHEREAS, Party B is authorized to receive, review and take the actions necessary to effectuate the lodging and agrees to accept service of any notices or corrections in respect of the lodged documents; and

WHEREAS, the parties desire to set forth the terms under which Party A will deliver the documents to Party B and how Party B will process and lodge those documents on behalf of Party A.

Scope of Work

Party B shall, on behalf of Party A, prepare, review, submit and follow through with lodging of the documents described below and shall take reasonable steps to monitor the status of the lodging until final acceptance or refusal is communicated to Party A.

Payment Terms

In consideration for the services provided under this Agreement, Party A shall pay Party B the fees and reimbursements set forth below.

All fees are payable within the timeframes set out above. Party B may suspend services if payments are overdue beyond the agreed cure period.

Term and Termination

This Agreement commences on and will continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party acknowledges that information disclosed in connection with this Agreement may include confidential, proprietary or commercially sensitive information. The receiving party shall:

(a) hold such information in confidence and use it only for the purposes of performing obligations under this Agreement; (b) restrict disclosure to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (c) take reasonable measures to protect such information from unauthorized access or disclosure. Confidentiality obligations shall survive termination for a period of three (3) years except where longer protection is required by law.

Representations and Warranties

Each party represents that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Party A warrants that the documents delivered for lodging are accurate to the best of its knowledge and that it has obtained all necessary consents and authorizations to enable Party B to lodge the documents.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for special, incidental or consequential damages. Party B's total aggregate liability for direct damages arising from this Agreement shall not exceed the total fees paid by Party A under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and representations. Any amendment to this Agreement must be in writing and signed by both parties.
