LODGING AGREEMENT

This Lodging Agreement is entered into by and between the parties identified below on the dates set forth in the signature block. The parties agree as follows:

PARTIES

RECITALS

WHEREAS, Host is the lawful possessor of the lodging premises located at the address set forth above and is authorized to provide temporary lodging and related services to guests; and

WHEREAS, Guest desires to occupy the lodging premises for lodging and short-term residential purposes subject to the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to lodging, payment, care of the premises, confidentiality, and termination.

SCOPE OF LODGING SERVICES

Host will provide lodging and the ancillary services described below. The parties acknowledge that services outside this scope must be agreed in writing.

PAYMENT TERMS

Rental Amount: $ payable in accordance with the schedule below.

Late Payment: If any payment required under this Agreement is not received within days after the due date, a late fee of will apply. Host may also charge interest on overdue amounts at a rate of .

Method of Payment: Payments shall be made by the method agreed by the parties and accepted by Host. All taxes, levies, or similar charges imposed in connection with the lodging shall be the responsibility of

Security Deposit Deductions: Host may deduct from the security deposit amounts reasonably necessary to repair damage beyond normal wear and tear, replace missing items, pay unpaid fees, or perform necessary cleaning. Any withholding will be accompanied by an itemized statement.

TERM AND TERMINATION

Term Commencement: This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement upon written notice at least days prior to the proposed termination date. Notice must be provided in accordance with the notice provisions below.

Termination for Cause: Either party may terminate this Agreement immediately for material breach by the other party that remains uncured after a reasonable cure period not to exceed 14 days following written notice specifying the breach.

USE, OCCUPANCY, AND MAINTENANCE

Occupancy Limit: The maximum number of occupants permitted at any time is persons. Unauthorized guests or commercial use is prohibited unless Host provides prior written consent.

Maintenance: Guest shall maintain the premises in a clean and sanitary condition and promptly notify Host of any damage, malfunction, or safety concern. Host shall be responsible for necessary repairs to maintain habitability, except for damage caused by Guest's negligence or willful misconduct.

UTILITIES, SERVICES, AND INSURANCE

Utilities Included: The following utilities and services are included with the lodging: . Any additional utilities or services requested by Guest are Guest's responsibility unless otherwise agreed in writing.

Insurance: Guest is encouraged to maintain personal property and liability insurance. Host's insurance does not cover Guest's personal property.

CONFIDENTIALITY

Non-Disclosure: During the Term and thereafter, each party shall keep confidential and not disclose to any third party any non-public business, operational, or personal information of the other party obtained in connection with this Agreement, except as required by law or as necessary to enforce rights under this Agreement. Confidential information does not include information that is or becomes publicly available without breach of this Agreement.

LIABILITY AND INDEMNIFICATION

Indemnity: Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Limitation of Liability: Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for indirect, incidental, consequential or punitive damages.

CANCELLATION POLICY

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided by the parties or to such other address as a party may designate in writing. Notice is effective upon receipt.

ENTIRE AGREEMENT

This Agreement, together with any attachments or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by both parties.
