Confidential Information shall not be disclosed except to employees, agents or subcontractors who have a need to know and who are subject to confidentiality obligations at least as protective as those herein. Confidential obligations shall survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Entire Agreement

This Agreement, together with the attached Logistics Checklist and any task orders executed hereunder, constitutes the entire agreement between the parties and supersedes all prior proposals, negotiations, and other communications, whether written or oral, relating to the subject matter hereof. Any modifications must be in writing and signed by authorized representatives of both parties.

Acceptance and Final Delivery

Delivery Confirmation: Upon delivery, Receiver shall inspect goods and shall either accept the shipment or provide a written notice of exceptions within forty-eight (48) hours. Absent timely written exceptions, delivery will be deemed accepted. Any shortage, damage or loss alleged must be documented on the carrier's proof of delivery and reported to Service Provider no later than seventy-two (72) hours after delivery.
