WHEREAS, Client Name: requests a quote for logistics services described herein and Provider has submitted this Quote proposing the terms, rates and conditions under which Provider will perform such services.

PAYMENT TERMS

Unless otherwise agreed in writing, payment shall be due in accordance with the schedule below. All amounts are stated in the currency specified in this Quote. Provider reserves the right to suspend services for late payment and to recover collection costs and legal fees incurred in enforcing payment.

TERM AND TERMINATION

This Quote shall become effective on the Start Date and remain in effect until the End Date or until the services described herein have been completed, whichever occurs later, unless earlier terminated as provided below.

Either party may terminate this Quote for material breach if the breach is not cured within the notice period specified above. Termination will not relieve Client of its obligation to pay for services performed and costs reasonably incurred through the effective date of termination, including any non‑cancelable commitments.

CONFIDENTIALITY

Each party acknowledges that, in connection with the performance of services, it may receive confidential information of the other party. Each party agrees to maintain the confidentiality of such information using reasonable care and not to disclose such information except to its personnel and subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential information does not include information that is or becomes publicly available without breach, is independently developed, or is required to be disclosed by law.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality, Provider's liability for claims arising out of or related to this Quote shall be limited to direct damages not to exceed the total amount paid by Client under this Quote. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES.

GOVERNING LAW

This Quote shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties. Any dispute arising under or in connection with this Quote shall be resolved in the courts of that jurisdiction unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Quote, together with any referenced rate schedules, attachments and accepted purchase orders, constitutes the entire agreement between the parties with respect to the services described and supersedes all prior proposals, negotiations and agreements, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.
