What a Logistics Services Company document is and how it’s used

A Logistics Services Company document sets out the commercial relationship between a shipper and a logistics provider, describing services, geographic scope, performance standards, pricing, liability, insurance, and termination rights. It functions as a binding commercial agreement when signed by authorized parties and supports operational onboarding, billing, and regulatory compliance across transport modes.

Why using a formal Logistics Services Company agreement matters

A clear, signed agreement reduces disputes, assigns risk, establishes service levels and billing terms, and documents compliance obligations. Proper execution and retention protect both parties and simplify audits, insurance claims, and regulatory reviews.

Why using a formal Logistics Services Company agreement matters

Typical users and contributors for this agreement

Multiple internal stakeholders should review the document before final signature to ensure operational and legal alignment.

  • Shippers and consignors who delegate transportation and distribution to third-party logistics providers.
  • Third-party logistics (3PL) and carrier operations teams responsible for service delivery and compliance.
  • Procurement, legal, and finance staff who negotiate terms, verify insurance, and approve payment.

Core provisions every Logistics Services Company agreement should include

A well-drafted logistics agreement balances operational detail with legal clarity to reduce ambiguity, allocate risk appropriately, and document measurable service expectations.

Scope of Services

Specify services (transportation, warehousing, cross-dock, customs brokerage), service locations, excluded activities, and performance metrics to avoid disputes over deliverables or responsibilities.

Pricing & Fees

Service Levels

Define SLAs, on-time delivery metrics, allowable exceptions, remediation procedures, and credit or penalty calculations tied to measurable KPIs.

Liability & Insurance

Allocate liability caps, exclusions, cargo insurance requirements, and claims notice procedures to address loss, damage, or delay scenarios.

Term & Termination

State initial term, renewal mechanics, termination for convenience or cause, cure periods, and post-termination obligations like final accounting and return of goods.
