LOYALTY REBATE AGREEMENT

This Loyalty Rebate Agreement (Agreement) is entered into as of by and between:

Recitals

WHEREAS, Supplier sells goods and/or services to Customer and offers a rebate program to incent sustained purchase volume; and

WHEREAS, the parties desire to set forth the terms and conditions under which Customer will be eligible to receive rebates based on Eligible Purchases made during the Rebate Period.

Definitions

"Eligible Purchases" means purchases of Supplier products or services that qualify under the product eligibility schedule and are invoiced to Customer during the Rebate Period and paid in accordance with agreed terms.

"Rebate Rate" means the percentage or fixed amount applied to Eligible Purchases to calculate the Rebate Amount as set forth in the Rebate Schedule below.

"Rebate Period" means the period commencing on and ending on .

Rebate Program and Schedule

Supplier will pay Customer a rebate based on Eligible Purchases in accordance with the schedule and calculation method set forth below. All monetary amounts are in the currency specified by Supplier in writing.

Calculation; Payment Terms

Rebate Amounts are calculated by applying the Rebate Rate to Eligible Purchases and subtracting permitted adjustments. Supplier will provide a written Rebate Statement within days after the end of each reporting period. Payments are due within days of Supplier's invoice of the Rebate Amount, unless disputed as provided below.

Reporting, Records and Audit Rights

Supplier shall deliver Rebate Statements in accordance with the reporting frequency: . Customer shall have the right, upon reasonable prior notice and during normal business hours, to audit Supplier's records relating to Eligible Purchases and Rebate calculations for the preceding months. If an audit reveals an underpayment exceeding of the correct Rebate Amount, Supplier shall reimburse Customer for reasonable audit costs.

Adjustments, Exclusions and Setoffs

Rebate calculations exclude returns, credits, taxes collected separately, and any sales not paid in full. Supplier may adjust Rebate Amounts to correct errors. Supplier may set off any undisputed amounts owed by Customer against Rebate payments due.

Term; Termination

This Agreement commences on the Effective Date and continues until the Rebate Period end date specified above, unless earlier terminated for material breach upon thirty (30) days' written notice and failure to cure. Termination does not relieve Supplier of obligations to pay any Rebate Amounts accrued prior to the effective date of termination.

Confidentiality

Each party shall maintain as confidential all non-public business and financial information disclosed under this Agreement and shall not disclose such information except to employees, advisors, or auditors on a need-to-know basis or as required by law.

Indemnity and Limitation of Liability

Each party indemnifies the other for third-party claims arising from its negligent or willful breach of this Agreement. Except for claims for gross negligence, willful misconduct, or indemnity obligations, neither party's aggregate liability shall exceed the total Rebate Amounts paid or payable under this Agreement during the twelve (12) months preceding the claim.

Taxes

The parties agree that all taxes (other than taxes based on Supplier's net income) arising from Rebate payments shall be the responsibility of the paying party to the extent required by law. Each party shall provide required tax documentation upon request.

Notices

All notices under this Agreement shall be in writing and sent to the parties' notice addresses below. Notices are effective upon receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to Rebates and supersedes prior understandings. Neither party may assign this Agreement without the other party's prior written consent, except to an affiliate or in connection with a sale of substantially all assets.

By signing below, each party represents and warrants that: (a) it has the full power and authority to enter into this Agreement; (b) the person signing has been duly authorized; and (c) all information provided in this Agreement is true and complete to the best of its knowledge.
