LUXURY ESCAPES AGREEMENT

This Luxury Escapes Agreement (the "Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to retain Service Provider to arrange, coordinate and provide premium travel, lodging, concierge and related services for high-end leisure travel experiences (the "Services"); and

WHEREAS, Service Provider represents that it has the expertise, personnel, and industry relationships necessary to deliver customized luxury travel experiences in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

SCOPE OF WORK

PAYMENT TERMS

Total Contract Price: $ (USD). Client shall pay the Total Contract Price pursuant to the schedule below. All payments are due in United States dollars unless otherwise agreed in writing.

Deposit Amount: $ due upon execution. Final balance due no later than .

Late Fee: Any past due amount shall accrue interest at the lesser of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, plus reasonable collection costs and attorney fees incurred in enforcing payment.

Additional Expenses: Client shall reimburse Provider for pre-approved third-party expenses (including but not limited to premium upgrades, special events, gratuities and local taxes) incurred in performance of the Services. Such expenses shall be itemized and invoiced and are due within 14 days of invoice.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may occur immediately upon written notice if the other party materially breaches any obligation and fails to cure such breach within 14 days after receipt of written notice specifying the breach.

Cancellation Fees: If Client cancels within 60 days of the scheduled travel date, Client shall forfeit the deposit and may be responsible for additional cancellation fees and non-refundable third-party costs as set forth in the Payment Schedule.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other relating to business practices, pricing, client preferences, itineraries, supplier contracts and other proprietary details.

Obligations: Receiving party shall (a) maintain Confidential Information in strict confidence, (b) not disclose it to any third party except to employees, contractors or affiliated suppliers who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein, and (c) use Confidential Information solely to perform obligations under this Agreement.

Exclusions: Confidential Information does not include information that is or becomes publicly available through no act of the receiving party, or that is independently developed without reference to Confidential Information, or is rightfully received from a third party free of restrictions.

Duration: The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any legal action arising out of or relating to this Agreement shall be brought in the state or federal courts located in the county of , and the parties hereby submit to the jurisdiction of those courts.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable to the other for indirect, incidental, special or consequential damages, including loss of profits. Provider's aggregate liability under this Agreement shall not exceed the Total Contract Price actually paid by Client to Provider.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including natural disasters, labor disputes, acts of government, epidemics, or supplier failures; provided the affected party provides prompt notice and uses commercially reasonable efforts to mitigate the impact.

NOTICES

ENTIRE AGREEMENT

This Agreement, including any attached exhibits and the Payment Schedule, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.
