MAIL SERVICES AGREEMENT

This Mail Services Agreement (the Agreement) is entered into as of by and between the parties identified below.

Parties

Recitals

WHEREAS, Service Provider is in the business of providing mail management and associated logistics services, including but not limited to mail receipt, sorting, forwarding, and secure handling; and

WHEREAS, Client desires to engage Service Provider to perform mail services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to such services.

Scope of Work

Service Provider shall perform the mail services described below in a professional manner consistent with industry standards. The services may include receiving mail on behalf of Client, sorting, scanning and electronic notification, physical forwarding, secure storage of undeliverable items, and related administrative tasks.

Payment Terms

In consideration for the services rendered, Client shall pay Service Provider the fees and charges set forth below in accordance with the schedule specified. All fees are due in U.S. dollars unless otherwise agreed in writing.

Past due amounts shall accrue interest at a rate of % per month (or the maximum lawful rate) on the outstanding balance, plus any collection costs reasonably incurred by Service Provider.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party (Recipient) shall hold in strict confidence all non-public information disclosed by the other party (Discloser) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Recipient shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

The obligations of confidentiality shall continue for following termination or expiration of this Agreement, except where law requires disclosure or where Confidential Information becomes publicly known through no fault of Recipient.

Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement or its gross negligence or willful misconduct. Service Provider shall maintain commercially reasonable liability and cargo insurance coverage to cover loss of or damage to Client's mail items while in Service Provider's custody.

Notices

All notices under this Agreement shall be in writing and delivered to the contact information below by certified mail, commercial courier, or email (with confirmation of receipt) to the addresses set forth in the Parties section or to such other address as a party designates by notice.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties agree to attempt to resolve disputes in good faith by negotiation, and if unsuccessful, disputes shall be resolved by binding arbitration in the county specified by the prevailing party, unless otherwise mutually agreed in writing.

Entire Agreement and Amendment

This Agreement, together with any exhibits or attachments specifically incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability and Waiver

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by either party to enforce any provision shall not be construed as a waiver of any future right to enforce that provision.

Execution

The parties may execute this Agreement in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic signatures shall be binding and have the same force and effect as original handwritten signatures.
