MAILING ADDRESS CHANGE FORM AND SERVICE AGREEMENT

Recitals

WHEREAS, Client Name: maintains a mailing address for receipt of correspondence and packages; and

WHEREAS, Service Provider Name: offers mail receiving, forwarding, and related address management services under the terms set forth herein; and

WHEREAS, Client desires to change the mailing address maintained by Service Provider and to establish the terms for ongoing service and billing in connection with such change effective as of Effective Date:

Scope of Work

The Service Provider shall perform the following services in connection with the mailing address identified in this form. Services include acceptance of mail, secure storage, forwarding, and handling of notification to the Client as specified below. Client acknowledges that any additional services not listed will require separate written agreement.

Client agrees to pay Provider for mailing services as set forth below. Fees are non-refundable except as otherwise provided in this Agreement.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice delivered no fewer than Notice Period (days): prior to termination. Termination for material breach is effective upon written notice if the breaching party fails to cure within thirty (30) days of receipt of such notice unless a different cure period is specified in writing.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with this Agreement, including but not limited to client correspondence, forwarding addresses, account numbers, and routing instructions (collectively, Confidential Information). Confidential Information shall not be disclosed to any third party except as required by law or as necessary to perform the services described herein. Obligations under this clause survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein for resolution of disputes.

Entire Agreement; Amendment

This document, together with any attachments and written schedules incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be made in writing and signed by an authorized representative of each party.

Representations and Certification

Client certifies that the new mailing address provided is accurate, that Client is authorized to request changes for the account referenced herein, and that Client shall indemnify Provider for any claims arising from inaccurate or fraudulent address changes initiated by Client. Provider represents that it will perform services in a commercially reasonable manner consistent with industry standards.
