This Mailing List Management Agreement (the Agreement) is entered into as of Date: between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client desires to engage Provider to assemble, maintain, or otherwise manage a mailing list for Client's communications, promotions, or customer outreach pursuant to the terms and conditions set forth in this Agreement; and

WHEREAS, Provider has represented that it has the technical capability and lawful authority to collect, host, segment, and deliver mailing list services and will do so in compliance with applicable data protection obligations and the terms of this Agreement.

WHEREAS, the parties wish to set forth their respective rights, responsibilities and payment terms regarding the mailing list and its management.

SCOPE OF WORK

Provider will perform the services described below in accordance with the specifications and timelines agreed by the parties.

PAYMENT TERMS

Client shall pay Provider for services performed according to the terms below. All fees are payable in U.S. Dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on the Start Date below and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice. Termination does not relieve Client of its obligation to pay for services performed prior to termination.

CONFIDENTIALITY

Each party shall maintain the confidentiality of the other party's Confidential Information. "Confidential Information" includes mailing list data, personally identifiable information, customer records, pricing, and any non-public business information disclosed in connection with this Agreement. Confidential Information shall not include information that is publicly available through no fault of the receiving party or lawfully obtained from a third party.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement, shall limit access to such information to employees and contractors who have a need to know, and shall employ commercially reasonable measures to protect such information from unauthorized disclosure.

DATA OWNERSHIP AND USE

Client retains all right, title, and interest in and to the mailing list data provided to or collected by Provider on Client's behalf. Provider is granted a limited, revocable license to store, process, segment, and use the mailing list data solely to provide the services described in the Scope of Work. Provider shall not sell, lease, sublicense, publish, trade, or otherwise transfer mailing list data to any third party without Client's prior written consent.

DATA PROTECTION AND COMPLIANCE

Provider shall implement and maintain administrative, physical, and technical safeguards appropriate to the sensitivity of the mailing list data and in compliance with applicable data protection laws. Provider shall promptly notify Client of any unauthorized access or data breach involving Client data and shall cooperate in reasonable mitigation and remediation measures.

INDEMNIFICATION

Provider will indemnify and hold Client harmless from and against any third-party claims, liabilities, losses or expenses arising from Provider's breach of this Agreement, willful misconduct, or negligent handling of mailing list data. Client will indemnify and hold Provider harmless from and against third-party claims arising from Client-provided content or instructions that infringe third-party rights or violate law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, understandings, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below (or such other address as a party may designate in writing).

ADDITIONAL PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute a waiver of any other breach.
