Either party may terminate any subsequent maintenance engagement authorized under this Advisory for material breach that remains uncured after the specified notice period. Termination of an Advisory does not relieve Client of payment obligations for services performed or costs incurred prior to termination.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed in connection with this Advisory and shall not disclose such information to third parties except as required by law or as necessary to perform the services contemplated herein. Confidential information does not include information that is or becomes generally available to the public through no fault of the receiving party.

GOVERNING LAW
