MAINTENANCE CONTRACT ADDENDUM

This Maintenance Contract Addendum ("Addendum") is made and entered into as of Effective Date: by and between Client Name: with principal place of business at , and Contractor Name: with principal place of business at .

RECITALS

WHEREAS, Client and Contractor entered into a Maintenance Agreement dated (the "Agreement"); and

WHEREAS, the parties desire to amend the Agreement to add or modify certain maintenance services and related compensation as set forth herein; and

WHEREAS, the parties intend for this Addendum to operate as an enforceable modification of the Agreement and to set forth the additional obligations and remedies with respect to the added services.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

Unless otherwise defined herein, capitalized terms used in this Addendum shall have the meanings given to them in the Agreement. For clarity, "Additional Services" means the services described in Section 2 of this Addendum.

2. SCOPE OF ADDITIONAL SERVICES

Contractor shall perform the Additional Services described below in accordance with the standards of care and performance set forth in the Agreement and this Addendum.

3. TERM

The term of this Addendum shall commence on Start Date: and shall terminate on End Date: unless earlier terminated in accordance with the Agreement.

4. COMPENSATION AND PAYMENT

As consideration for the Additional Services, Client shall pay Contractor the fees specified below in accordance with the invoicing and payment terms of the Agreement, except as expressly modified herein.

5. MODIFICATIONS TO ORIGINAL AGREEMENT

Except as specifically amended by this Addendum, the Agreement remains in full force and effect. The following provisions of the Agreement are hereby amended as indicated:

All other provisions of the Agreement not expressly modified by this Addendum shall remain unchanged and enforceable.

6. INSURANCE; INDEMNITY

Contractor shall maintain insurance coverage consistent with the Agreement and any additional coverages required for the Additional Services. Contractor agrees to indemnify, defend and hold harmless Client from any claims, losses, liabilities or expenses arising from Contractor's performance of the Additional Services, except to the extent caused by Client's gross negligence or willful misconduct.

7. CONFIDENTIALITY

The parties shall treat all nonpublic information disclosed in connection with the Additional Services as confidential in accordance with the confidentiality provisions of the Agreement. Each party shall use such information only for the purposes of performing its obligations under the Agreement as amended by this Addendum.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the power and authority to enter into this Addendum, that the person executing this Addendum on its behalf is duly authorized, and that this Addendum constitutes a valid and binding obligation enforceable in accordance with its terms.

9. NOTICES

All notices required or permitted under this Addendum shall be given in the manner and to the addresses set forth below or to such other address as a party may designate by notice in accordance with this section.

10. GOVERNING LAW; VENUE

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or related to this Addendum.

11. ENTIRE AGREEMENT; SEVERABILITY

This Addendum and the Agreement (as amended hereby) constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals or understandings relating thereto. If any provision of this Addendum is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

Any amendment or modification of this Addendum must be in writing and signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

Each party acknowledges that it has read this Addendum, understands its terms, and agrees that the person signing below is authorized to bind the respective party.
