NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Termination for cause may occur immediately upon material breach that remains uncured after ten (10) days' written notice.

Confidentiality

Each party shall maintain in confidence all non-public, business and technical information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is publicly known through no fault of the receiving party or which is rightfully received from a third party without obligation of confidentiality. The obligations of confidentiality survive termination for a period of three (3) years.

Records, Accuracy and Retention

Maintenance logs completed pursuant to this Agreement constitute the official record of Service Provider's performance. Service Provider certifies that entries are accurate and were made contemporaneously with the work. Client may request copies of logs; Service Provider shall retain originals for a period of not less than three (3) years following the date of entry.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state whose courts shall have exclusive jurisdiction over any disputes arising from this Agreement, excluding any conflict-of-law provisions.

Entire Agreement

This Agreement, including any attachments and the maintenance logs completed as required herein, constitutes the entire agreement between the parties and supersedes all prior proposals, negotiations and agreements, whether written or oral, relating to the subject matter hereof. No amendment will be effective unless in writing and signed by both parties.

By signing below, each party acknowledges it has read, understands and agrees to be bound by the terms of this Agreement and certifies that the maintenance log entries attached to or recorded under this Agreement are accurate and complete to the best of the signer's knowledge.
