Scope of Work

Service Provider shall perform the maintenance and repair services described below. The description must be sufficiently detailed to permit an accurate estimate and scheduling. Minor incidental tasks reasonably necessary to complete the described work are included unless noted otherwise.

Payment Terms

Service Provider will charge for labor, materials, and applicable taxes in accordance with the terms below. Client agrees to pay amounts due according to the prescribed schedule. Any estimate provided is an estimate only unless expressly stated as a fixed price.

Either party may terminate for material breach if the other party fails to cure a breach within the notice period above. Service Provider may suspend work if Client fails to pay amounts due, subject to prior written notice and applicable law.

Access, Authorization, and Health & Safety

Client authorizes Service Provider and its authorized personnel to enter the Property to perform the Scope of Work at mutually agreed times. Client will provide reasonable access, keys, or codes when necessary and will notify Service Provider of any health, environmental, or safety hazards on the premises.

Confidentiality

Each party shall keep confidential any nonpublic business, technical, or personal information received from the other party in connection with this Agreement and shall use such information only for purposes of performing obligations under this Agreement. Confidential information does not include information that is or becomes publicly available other than through a breach of this Agreement, or that is lawfully obtained from a third party without restriction. The obligations in this clause survive termination of this Agreement for a period of three (3) years.

Liability; Insurance

Service Provider shall maintain appropriate liability insurance and, upon request, provide proof of insurance. Service Provider's liability for direct damages arising from its performance shall be limited to the fees paid by Client for the specific work giving rise to the claim. Neither party shall be liable for incidental, consequential, or punitive damages except as required by applicable law.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the jurisdiction in which the Property is located. The parties will attempt in good faith to resolve disputes by negotiation; unresolved disputes may be submitted to mediation or adjudicated in courts having jurisdiction where the Property is located.

Entire Agreement

This instrument, including any attachments and the written Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Acknowledgment

By signing below, Client requests the maintenance services described herein and authorizes Service Provider to perform the Scope of Work subject to the terms and conditions of this Agreement. Service Provider acknowledges acceptance of the request and agrees to perform the services in a professional manner.
