WHEREAS (Recitals)

WHEREAS, Service Provider is engaged in the business of providing building maintenance, repair, inspection and related services, and possesses the necessary personnel, licenses and equipment to perform such services in a professional manner; and

WHEREAS, Client desires to obtain a quote for maintenance services described herein and to engage Service Provider upon acceptance of this Quote; and

WHEREAS, the parties intend that this document serve as an offer to perform the services set forth below upon acceptance and signature by both parties, at which time it will constitute a binding agreement between the parties.

Scope of Work

The Service Provider shall perform the following maintenance services in accordance with industry standards and applicable laws. The scope below is not exhaustive; any deviations must be documented and approved in writing by both parties.

Provide itemized services. Line totals shall reflect quantity multiplied by unit price. Prices are exclusive of applicable taxes unless stated otherwise.

Payment is due pursuant to the schedule below. Invoices delivered by Service Provider are payable in full in accordance with the schedule. Unless otherwise set forth, payment is due within the specified number of days after invoice date.

Term and Termination

This Quote, upon acceptance, shall become effective on the Start Date and remain in effect until the End Date or until the services described are completed, unless earlier terminated in accordance with this section.

Confidentiality

Each party shall hold in confidence all proprietary, technical or business information disclosed by the other party in connection with this Quote and the resulting work ("Confidential Information"). Confidential Information shall not include information that is publicly available through no fault of the receiving party. Confidential Information shall not be disclosed except to permitted employees, contractors or advisors who need to know for performance and who are bound to confidentiality obligations no less protective than those herein.

This obligation shall survive termination or expiration of the parties' agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

Liability; Insurance

Service Provider shall maintain general liability insurance and workers' compensation coverage as required by law. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of Service Provider arising out of the services shall not exceed the total amount paid by Client under this Quote for the services giving rise to the claim.

Governing Law

This Quote and any resulting agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of laws principles.

Entire Agreement

This Quote, together with any attachments or exhibits expressly incorporated herein, constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, representations and agreements, whether written or oral. Any modification or waiver must be made in writing and signed by both parties.

Acceptance

To accept this Quote, the Client must sign below. Acceptance constitutes the Client's offer to enter into the services set forth herein subject to the terms contained in this Quote. This Quote will become a binding agreement upon signature by both parties.
