Recitals

Payment Terms

The Requester agrees to pay for labor, materials and applicable taxes in accordance with the following terms. Service Provider shall invoice Requester upon completion or at agreed milestones.

Late Fee:    Payments not received within 30 days of invoice date may incur the late fee stated above and collection costs.

Term and Termination

This Service Request and any resulting service authorization shall commence on and expire on unless earlier terminated pursuant to the terms below.

Either party may terminate for convenience upon days' written notice. Termination for cause may occur immediately where a party materially breaches and fails to cure within a commercially reasonable period after written notice.

Confidentiality

Each party shall keep confidential any proprietary information disclosed in connection with the services, shall use such information solely for performance under this request or subsequent authorization, and shall not disclose such information except as required by law or with the other's prior written consent. This obligation survives termination of the services.

Liability & Indemnity

Service Provider shall perform services with reasonable care and skill. Except to the extent caused by gross negligence or willful misconduct, neither party shall be liable to the other for incidental or consequential damages. Each party agrees to indemnify the other for claims arising from its negligence or breach of this request.

Governing Law

This Service Request shall be governed by and construed in accordance with the laws of the state identified by the Requester at the time of signing and, where applicable, the local jurisdiction of the Service Location.

Entire Agreement

This form, together with any subsequent written service authorization accepted by both parties, constitutes the entire agreement between the parties regarding the requested services and supersedes all prior proposals, representations or agreements relating to the same subject matter.
