MAINTENANCE TUNNEL MAINTENANCE AGREEMENT

This Maintenance Tunnel Maintenance Agreement ("Agreement") is entered into by and between Client Name: and Contractor Name: with an Effective Date of .

RECITALS

WHEREAS, Client owns, operates or manages the tunnel facility located at: (the "Facility"); and

WHEREAS, Contractor represents that it possesses the experience, personnel, equipment and licenses necessary to perform inspection, preventive maintenance, corrective repairs and associated services for the Facility; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

SCOPE OF WORK

Contractor shall perform maintenance, inspection and repair services for the Facility as set forth below and in any attached work orders executed under this Agreement. Services shall be performed in accordance with applicable laws, industry standards and the schedules herein.

PAYMENT TERMS

Client shall pay Contractor for services performed under this Agreement in accordance with the terms specified below. Invoices shall state the work performed, dates, personnel, materials and any applicable taxes.

TERM AND TERMINATION

This Agreement commences on the Effective Date and shall continue until the Estimated Completion Date unless earlier terminated as provided below.

Either party may terminate for material breach if the breaching party fails to cure within the notice period. Termination shall not relieve Client of obligation to pay for work performed and materials procured up to the effective date of termination.

CONFIDENTIALITY

Contractor and Client each acknowledge that in performing services under this Agreement they may receive Confidential Information. Each party agrees to (a) hold Confidential Information in strict confidence, (b) use it only to perform obligations under this Agreement, and (c) not disclose it to third parties except to employees, subcontractors or insurers on a need-to-know basis and subject to equivalent confidentiality obligations. Confidentiality obligations survive termination for a period of three (3) years.

INSURANCE, INDEMNITY AND LIABILITY

Contractor shall, at its expense, maintain workers' compensation, commercial general liability, automobile liability and, where applicable, professional liability insurance in limits consistent with industry standards. Contractor shall indemnify, defend and hold harmless Client from claims arising from Contractor's negligence or willful misconduct, except to the extent caused by Client's negligence.

SAFETY, PERMITS AND COMPLIANCE

Contractor shall perform work in compliance with applicable health and safety regulations, site-specific safety plans and permit requirements. Contractor shall obtain and maintain any permits required to perform the work and shall coordinate shutdowns and access with Client.

INSPECTION, REPORTING AND ACCEPTANCE

Contractor shall perform inspections and prepare written reports documenting findings, corrective actions taken, recommendations and any test results. Client shall have the right to inspect and accept or reject work that does not conform to the agreed Scope of Work.

CHANGE ORDERS

Any changes to the Scope of Work, price or schedule must be documented in a written change order signed by authorized representatives of both parties before Contractor proceeds with the changed work. Change orders shall set forth changes in price, time for performance and other material terms.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of . Venue for any dispute shall be in the appropriate court located in that jurisdiction, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including any work orders and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and representations, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
